Evoke's History: From 888 Holdings to William Hill and Beyond

By Lucky BetMastermind · Researched and written with help of ChatGPT · Updated 5 November 2026

Today's evoke plc combines businesses with very different beginnings. The digital gambling company associated with 888 dates back to 1997, while William Hill began as a bookmaker in 1934. Their histories came together in July 2022, when 888 acquired William Hill's international business outside the United States. The enlarged group adopted the evoke name in 2024. Another proposed change of control, involving Bally's Intralot, was progressing through approvals in 2026 but had not been reported as complete in the company's 23 October update.

This history matters because acquisitions changed far more than the name above the door. They altered the group's exposure to betting shops, online markets, brands, technology and debt. For a snapshot of the present company, see our Evoke corporation overview. Here, the question is how that company came to exist.

The Origins of 888: From Virtual Holdings to a London Listing

Evoke's official corporate chronology places the beginning of 888 in 1997, when Virtual Holdings Limited was established in the British Virgin Islands. An Antiguan subsidiary obtained a gambling licence and Casino-on-Net, its first proprietary casino product, launched that May. This was an online-first enterprise rather than a high-street bookmaker expanding onto the internet.

Random Logic Limited was established in Tel Aviv in 1998 for development and marketing. The 888.com name and Pacific Poker appeared in 2002; headquarters moved to Gibraltar in 2003. The London listing followed in 2005.

These were distinct decisions about products, engineering, jurisdiction and public capital. The listing was not the founding event, and the original British Virgin Islands entity should not be confused with the later Gibraltar-incorporated parent.

The company acquired a bingo operation in 2007 and launched 888sport in 2008. It was already expanding beyond online casino before its much larger 2022 acquisition.

William Hill Had a Different History Before Joining 888

William Hill began as a postal and telephone bookmaker in 1934, later developing betting shops and online products. It floated in London in June 2002, three years before 888.

William Hill was an independently developed retail-and-online operator, not an 888 sub-brand. In 2019, it acquired Mr Green & Co AB, expanding its European gaming exposure. Meanwhile, 888 bought BetBright's sportsbook technology. Both brought different capabilities to the later combination.

Caesars Entertainment acquired William Hill in April 2021, retained its US betting business and offered the UK and international operations for sale. That defined the perimeter 888 pursued.

The 2022 William Hill Acquisition: Scale, Scope and Debt

888 announced the proposed acquisition of William Hill's international, non-US business on 9 September 2021. A signed agreement was not the same as completed ownership: shareholders and other required parties still had decisions to make. On 16 May 2022, 888 shareholders approved the relevant resolution at an extraordinary general meeting. Completion followed on 1 July 2022; the enlarged company's shares were readmitted to London trading on 4 July.

The terms changed before completion. In April 2022, 888 renegotiated the transaction's enterprise value from £2.2 billion to £1.95 - 2.05 billion, including capitalised leases. The cash consideration scheduled for payment to Caesars at completion fell from £834.9 million to £584.9 million, with up to £100 million of additional deferred consideration subject to conditions. However, the subsequent H1 2022 financial statements recorded £544.6 million actually paid to Caesars at closing on 1 July 2022. These figures describe different stages and measures: enterprise value, agreed cash terms, actual closing payment and contingent consideration must not be treated as interchangeable prices.

The acquired perimeter included William Hill's UK-facing operations and associated brands, but excluded the US business retained by Caesars. UK betting shops and European online gaming have different economics from the excluded US operations.

The acquisition combined an online-led company with a substantial UK retail estate and sportsbook identity. A broader portfolio could improve coverage and shared operations, but retail costs, regulation and technology integration remained. The present relationships are mapped in Evoke's brands and subsidiaries.

The group also arranged significant debt funding. Its 2022 interim disclosures describe notes and facilities maturing in 2027 and 2028, making cash generation and refinancing structural issues. Precise figures belong in our Evoke financial results analysis.

My reading is that the deal changed the central question: from growing an online platform to integrating a retail-and-online group while servicing acquisition funding. This follows from the enlarged operating perimeter and financing disclosures; it is not proof that the acquisition failed.

Why 888 Sold Bingo and Dragonfish Just Afterwards

The company did not only acquire assets in July 2022. On 7 July it announced completion of the sale of its B2C and B2B bingo businesses to Saphalata Holdings Ltd, part of Broadway Gaming. The disposal included the Dragonfish business-to-business operation. Total cash consideration was reported as $45.25 million (£37.4 million), with most payable at completion and a further $2 million due one year later.

The UK-focused bingo operation generated approximately £19 million of H1 2022 gaming revenue, and transitional services were agreed. This was the sale of an operating business and platform, not merely a brand name.

Management linked the disposal to focusing on betting and gaming while integrating William Hill. The larger acquisition increased reach; the bingo exit removed a separate operating platform. Historical mentions of Dragonfish do not make it a current evoke subsidiary.

Portfolio reshaping continued in 2023. On 13 June 2023, 888 completed the sale of its Latvian business to Paf Consulting Abp. The operation had used the William Hill and Mr Green brands; the agreed consideration was up to €28.25 million, including €24 million upfront and a conditional earn-out. Management linked the sale to releasing cash, reducing debt and focusing on core and growth markets. Expansion after William Hill was therefore accompanied by selective disposals.

2024: The Name Became Evoke, While the Brands Remained

By 2024 the group had a new management team led by CEO Per Widerström and CFO Sean Wilkins, and it had announced a strategic framework and value-creation plan. After shareholder approval, the company completed its corporate rebrand from 888 Holdings plc to evoke plc on 13 May 2024.

The public explanation was that one group name would unify employees and express a strategy wider than the 888-branded customer products. Crucially, evoke's announcement said that William Hill, 888casino, 888sport, 888poker and Mr Green would continue under their established consumer names. The corporate rebrand therefore should not be mistaken for a wholesale relaunch of gambling sites or a fresh purchase of businesses already owned.

By 2024 the parent stood above independently recognisable brands, multiple markets and online and retail operations. 'Evoke' reflected that broader reality, but a new name could not itself deliver integration, profit or lower debt.

In March 2024 the group also announced plans to withdraw from US B2C operations. This was separate from the exclusion of William Hill's US business in 2022; individual exits require their own completion evidence.

Winner.ro: A Targeted Move Into Romania

Evoke announced the Winner.ro transaction in August 2024 and reported its completion in early October. Its FY2024 financial statements specify that, on 11 October 2024, the group entered a transaction to acquire 51% of New Gambling Solutions SRL, incorporated in Romania, and 51% of Orion Sky Marketing Limited, incorporated in Gibraltar, including the Winner brand. The accounts describe an enlarged Romanian business that also incorporated the trade of its existing 888 Romania subsidiary.

This was not a straightforward acquisition of every entity anywhere named 'Winner'. It was a documented transaction involving specified companies, an existing 888 business contribution and an enlarged local operation in which evoke reported control. Its October 2024 trading update positioned Romania as the group's fifth core market and outlined plans for the 888 and Winner brands to operate on a common platform.

Unlike William Hill, Winner was a focused Romanian expansion built around shared infrastructure. Management expected synergies, which require later operating evidence to evaluate.

2026: Bally's Intralot Proposed a New Change of Control

A different kind of transaction emerged in 2026. On 5 June 2026, evoke and Bally's Intralot S.A. announced agreement on the terms of a recommended all-share acquisition of the entire issued and to-be-issued ordinary share capital of evoke. The intended mechanism was a scheme of arrangement under Gibraltar company law. It was a proposal concerning control of the listed parent, not an evoke acquisition of another consumer gambling brand.

The recommendation followed a strategic review of alternatives in a period when the group was emphasising cash generation and a more sustainable capital structure. Consideration in shares also has a different logic from an all-cash sale: the investor's ultimate exposure depends on the securities and conditions specified by the scheme. That is a subject for our discussion of Evoke shares and shareholder returns, rather than a historical article attempting to value an unsettled outcome.

The transaction passed distinct procedural milestones. Evoke published the Scheme Document on 21 July 2026. On 17 August, the requisite resolutions passed at evoke's Court Meeting and General Meeting. On 18 September, Intralot shareholders approved resolutions necessary for the acquisition. These votes advanced the process but did not transfer ownership. Outstanding conditions, including court-related and regulatory steps, still had to be satisfied or waived.

Regulatory clearancesMajority received according to 23 October updateSome conditions still remained
Court/remaining conditions and effectivenessNo completed effective date confirmed in the latest verified company updateTransaction still described as conditional

On 23 October 2026, evoke confirmed that most regulatory approvals had been received, but remaining conditions still applied. Its anticipated closing window was late Q4 2026 or early Q1 2027, not a confirmed effective date. At the 5 November evidence cut-off, the reviewed official disclosures did not establish completion.

The distinction is more than legal pedantry. Readers trying to interpret a historical transaction, a shareholding or an obligation can reach a completely different conclusion if a recommended offer is presented as an already closed acquisition. The current governance and proposed-control questions belong in our Evoke leadership and ownership guide. This page records the verified sequence and its unresolved final step.

What These Transactions Reveal About Evoke's Development

Three movements stand out. First, 888 built online products and technology. Second, William Hill broadened its reach and financing obligations, albeit on terms revised before closing. Third, selective reshaping followed: bingo and Latvia were sold, the parent was renamed, US B2C withdrawal was pursued and a Romanian transaction followed.

Those movements should not be read as a smooth, predetermined strategy. Corporate decisions were made under different executives and market conditions. Some acquired assets expanded the group; others were exited. The same transaction can create operational opportunities and financial constraints. The 2026 proposal is especially revealing because its rationale included capital-structure considerations, not merely the addition of another consumer brand.

My assessment is that evoke's history is best understood as a sequence of changing business perimeters. Brand recognition helped justify expansion, but the ability to integrate assets and convert operating activity into sustainable cash flows determined how much freedom the enlarged group retained. This is why the story cannot end with a celebratory merger timeline. Acquisitions influence the balance sheet long after their completion announcements disappear from headlines.

There is also an important limit to historical inference. A 2024 strategy presentation describes what management wanted to achieve; a later financial report is needed to assess what happened. Likewise, an approved 2026 transaction still needs an effective-date announcement before it becomes a completed chapter. Readers evaluating the group should check the latest issuer disclosures after the stated cut-off.
