Evolution AB is a publicly listed Swedish company, not a private casino business owned outright by its chief executive. Its ownership is distributed across shareholders, including the founder-linked Österbahr Ventures and Candle Lake Limited, a vehicle associated with investor Kenneth Dart. Shareholdings, voting power and operational authority are distinct, while ownership percentages require a dated denominator.
That distinction became particularly important in 2026. Candle Lake crossed the threshold that triggered a mandatory offer and subsequently reported control of 59,910,335 Evolution shares. Evolution then continued cancelling and repurchasing shares, changing the relevant share base. A September ownership percentage cannot be treated as a verified November position.
Evolution AB and the four layers of control
Evolution AB (publ) is the listed parent of an international supplier of live casino and online gaming technology. An ordinary shareholder has an equity interest in that parent. A director oversees governance on behalf of the company. An executive manages operations under the board's direction. A derivative investor may have an economic return linked to the share price without owning the underlying voting shares.
The distinctions are:
- Share ownership: an identified holder owns or controls a stated number of shares, subject to the exact wording of its disclosure.
- Voting influence: the relevant shares carry votes at meetings; the practical influence of a substantial block depends on turnout, other holders and the decisions being considered.
- Board authority: directors are elected to supervise strategy, appoint or oversee executives and make decisions within their legal mandate.
- Executive authority: the chief executive and management team run the group's business. Their titles do not make them the owners of every subsidiary or the holders of a majority of shareholder votes.
Economic exposure is separate: a cash-settled total return swap (TRS) tracks share-price economics without itself transferring votes.
An officer at a UK Evolution subsidiary does not thereby own shares in the Swedish parent or sit on its board. See our Evolution brands and subsidiaries guide.
Who are Evolution's major shareholders?
Evolution publishes shareholder information, but the individual entries on its shareholder-structure page have different observation dates. That makes the page useful for identifying significant reported positions, not a synchronised, real-time register. The percentages below reproduce each holder's dated source entry. They cannot be summed or compared as a single 6 November capitalisation table, because observations and share bases differ.
| Disclosed holder | Reported shares | Reported share | Observation date | Reading note |
|---|---|---|---|---|
| Candle Lake Ltd (Kenneth Dart) | 59,910,335 | 30.07% | 15 September 2026 | Issuer shareholder-page snapshot; different base from offer-result percentage |
| Österbahr Ventures AB | 21,763,850 | 10.92% | 10 September 2026 | Equally owned by Jens von Bahr and Fredrik Österberg; shares held by the vehicle |
| BlackRock | 5,728,586 | 3.11% | 30 October 2026 | More recent institutional snapshot; not a common date for the other rows |
| Capital Group | 5,732,719 | 3.11% | 30 September 2026 | Institutional position shown at that observation date |
| Vanguard | 4,602,363 | 2.51% | 30 September 2026 | Institutional position shown at that observation date |

The figures are disclosure snapshots, not a single audited cap table for 6 November 2026. “Reported share” reproduces the source's historical figure; it is not our recalculation against the latest issued-share total.
The difference between Candle Lake's 30.07% on the shareholder page and approximately 31.6% in the final offer statement needs careful qualification. Dates, definitions and share bases differ; without a full reconciliation, no single explanation for the difference is established.
Reported institutional holdings may represent funds or managed accounts; the table does not map every ultimate investor. The equal ownership of Österbahr Ventures is established, but its private decision-making arrangements are not established by this table.
Candle Lake, Kenneth Dart and the 2026 mandatory offer
Candle Lake Limited was central to Evolution's ownership story in 2026. Its announcements identify it as a Cayman Islands company associated with Kenneth Dart and describe a substantial holding in the Swedish issuer. The important event was not a completed purchase of all Evolution shares. It was the mandatory public cash offer process that followed Candle Lake's crossing of the applicable ownership threshold.
What happened, and when?
| Date | Public event | What it establishes |
|---|---|---|
| 24 July 2026 | Candle Lake announced that an acquisition had taken its shareholding above the 30% threshold | The mandatory-offer process was triggered; this did not mean 100% ownership |
| 13 August 2026 | Candle Lake announced a cash offer at SEK 695 per Evolution share | A formal opportunity for other holders to tender, not an assured full takeover |
| 24 August 2026 | Evolution's board recommended that shareholders reject the offer | The board's recommendation and each shareholder's decision were separate matters |
| 15 September 2026 | Offer acceptance period ended | The number of shares tendered could be determined |
| 16 September 2026 | Candle Lake announced the final outcome | Only 111,716 shares had been tendered; total shares held or controlled were 59,910,335 |
| 30 October 2026 | Later Evolution share-count and treasury-share position | A new share base existed; the September percentage was not a November cap-table update |
The final result is unusually revealing. Just 111,716 shares, about 0.06% of Evolution's share capital and votes on the offer's stated basis, were tendered during the acceptance period. Together with shares already held or otherwise controlled by Candle Lake and its closely related parties, the final announced figure was 59,910,335 shares, equivalent to approximately 31.6% of the share capital and votes on the denominator used in that 16 September announcement.
The limited acceptance left Candle Lake with a significant voting block, not ownership of the entire company. Other shareholders retained their interests and listed-company governance continued.
Why the 33.8% figure is different
The same final announcement described an additional indirect financial exposure to 4,037,416 Evolution shares through cash-settled total return swaps, held via a closely related party. Added as share equivalents to the reported shareholding, the combined exposure amounted to 63,947,751 share equivalents, or approximately 33.8% on the offer announcement's stated basis.
That 33.8% is a combined financial exposure figure. It is not evidence that Candle Lake held votes corresponding to 33.8% of Evolution. The derivative's economics and any contractual arrangements must be distinguished from legal ownership of ordinary shares. Treating a cash-settled swap as a block of shares directly held and voted by the investor would overstate what the public announcement proves.
The phrase “held or otherwise controlled” is Candle Lake's own aggregate formulation, not evidence for an invented account-by-account beneficial-ownership map.
Kenneth Dart is therefore relevant here as the person associated with Candle Lake's disclosed investment vehicle, not as Evolution's CEO. The Swedish listed parent, its shareholders and each local subsidiary have to be checked separately.
Österbahr Ventures and the founders
Evolution's ownership structure reflects its founding partnership. Jens von Bahr and Fredrik Österberg are co-founders, and their interests are represented in part through Österbahr Ventures AB. Evolution's 2025 Annual Report confirms that the vehicle is equally owned by the two founders. Its reported holding of 21,763,850 Evolution shares on 10 September 2026 is a holding of the vehicle, not of either founder personally.
Equal ownership does not make half the vehicle's Evolution shares each founder's personal holding, or reveal all of its voting agreements.
Jens von Bahr is currently a director and chair of Evolution's board, while Fredrik Österberg also serves on the board following the April 2026 annual general meeting. Founder status explains a historical relationship to the business; board membership is a present governance office; the Österbahr holding is a separate legal equity relationship. Combining them into one label, “the owners”, would obscure how decisions are actually made.
Evolution's broader history also refers to Richard Hadida in the company's early development. Historical participation must not automatically be rewritten as an equal present-day founder holding, a current board seat or an active managerial role. Our history and acquisitions analysis follows the commercial development of the business; this page asks how its formal rights are allocated today.
Jens von Bahr, the chairman, and Jesper von Bahr, the strategy officer, are different people, with different offices.
Board of directors versus group management
Evolution's board and its executive management are not interchangeable. The board is elected through the corporate governance process. Management conducts the day-to-day business under the board's framework. The company's 24 April 2026 AGM resolution provides a precise date for the board composition; its governance page identifies the executive roles.
Board elected at the 24 April 2026 AGM
| Director | Position or context |
|---|---|
| Jens von Bahr | Chairman; co-founder |
| Fredrik Österberg | Director; co-founder |
| Joel Citron | Director |
| Mimi Drake | Director |
| Ian Livingstone | Director |
| Sandra Urie | Director |
| Samantha Sacks Gallagher | Director; elected in 2026 |

A founder-chair can have considerable strategic influence without holding a personal majority. Director independence and committee responsibilities should be assessed using the company's governance disclosures.
Group management disclosed by Evolution
| Executive | Group role | Relevant distinction |
|---|---|---|
| Martin Carlesund | Group CEO | Leads the business; employed since 2015; not the same person as the founders |
| Joakim Andersson | Chief Financial Officer | Took up the CFO role in February 2025 |
| Jesper von Bahr | Chief Strategy Officer and Secretary to the Board | Executive and board-secretary responsibilities; distinct from chairman Jens von Bahr |

Executives can separately own shares or hold rights under warrant-based incentive programmes. Those interests are relevant to incentives and alignment, but they should not be conflated with the board's legal powers or a block shareholder's votes. An unexercised warrant is not automatically an outstanding voting share, and a disclosed personal shareholding may have a different measurement date from the institutional ownership table.
Why the October 2026 share count changes the calculation
Share ownership is a fraction. The numerator is a holder's relevant shares; the denominator is the share base appropriate to the question and date. Buybacks, treasury holdings and cancellations can change the denominator even if a particular investor does not buy or sell a single share.
The cancellation of 16,168,492 repurchased shares was completed in September 2026, following the extraordinary general meeting on 22 September. Repurchases continued in October. In an announcement published on 2 November 2026, Evolution reported 183,058,121 total issued shares and 2,830,705 treasury shares as of 30 October 2026. Subtracting those figures gives 180,227,416 shares outside treasury on that specific date. This is useful issuer-level information, but it is not a fresh, independently confirmed 30 October holding statement for Candle Lake, Österbahr or any institution.
The critical distinction is between:
- Verified historical statement: Candle Lake's final offer release put its held-or-controlled shares at 59,910,335 and its voting-share percentage at approximately 31.6%, according to the September offer denominator.
- Unverified contemporary inference: Candle Lake's exact percentage and legal voting rights on 30 October or 6 November, calculated by blindly reusing the September numerator against a later issuer denominator.
A current calculation requires a matching holder disclosure and the correct treatment of treasury shares, other movements and voting rules.
Our assessment: influence is not identical to ownership
Candle Lake's disclosed voting block, the founders' board representation and Martin Carlesund's executive mandate give each a different channel of influence.
The 2026 mandatory offer also provides a useful test of the word “control”. The threshold triggered a statutory process; it did not guarantee widespread tendering. The final tender volume was small. Public discussion should therefore distinguish the significance of a blockholding from the separate question of whether an offer actually resulted in broad ownership transfer.
Public records do not establish a synchronised post-buyback table for every holder, all Österbahr voting arrangements or every TRS term.
Our conclusion is consequently narrower, and more useful, than claiming that one billionaire simply “owns Evolution”. As of the documented 2026 events, Evolution remains a Swedish listed group with significant block-shareholder influence, founder representation at board level and a distinct professional management team. Readers assessing strategic or regulatory consequences should distinguish those roles before drawing further conclusions. Frequently asked questions
Who owns Evolution AB?
Evolution AB is a publicly listed Swedish company with multiple shareholders. Candle Lake and the founder-associated Österbahr Ventures appear among significant disclosed holders, but their published figures must be read with their individual dates and share-base definitions.
Is Kenneth Dart the CEO of Evolution?
No. Kenneth Dart is associated with the Candle Lake investment vehicle. Evolution's group CEO is Martin Carlesund.
Who founded Evolution?
Jens von Bahr and Fredrik Österberg are co-founders and equal owners of Österbahr Ventures AB. That does not make each the registered personal holder of half the vehicle's Evolution shares.
Does Candle Lake have 33.8% of the votes?
The 33.8% figure in the September 2026 announcement combined a shareholding with additional cash-settled TRS economic exposure. It is not an independently established voting percentage. The final offer announcement separately stated approximately 31.6% of the share capital and votes for the shares held or controlled on its reference basis.
Is Jens von Bahr the same person as Jesper von Bahr?
No. Jens is the chairman and co-founder; Jesper is Evolution's chief strategy officer and secretary to the board.
Does a UK Evolution company director own the whole group?
No. An officer appointment at a UK subsidiary does not establish ownership of the Swedish listed parent. The exact legal entity and rights must be checked independently.
