FDJ UNITED entered 2026 as a much larger gambling group than it had been before the Kindred acquisition. Yet greater scale has not translated into uniformly stronger trading, statutory earnings or a lower debt burden. Its 2025 accounts show substantial cash generation alongside weaker like-for-like revenue. Its first-half 2026 accounts show a statutory loss but positive adjusted earnings. And its latest October update shows falling nine-month revenue without providing a new full balance sheet.
These figures describe trading, accounting profit and financing at different dates. Reading them together requires a clear distinction between acquisition-driven growth, underlying activity, accounting adjustments, cash conversion and financing obligations.
This analysis draws on the audited accounts for the year ended 31 December 2025, the interim statements for the six months ended 30 June 2026 and the trading announcement of 21 October covering the first nine months of 2026. Figures below are consolidated group amounts in euros unless stated otherwise. For the broader corporate context, see our FDJ UNITED overview.

What the October 2026 Trading Update Actually Says
FDJ UNITED reported nine-month gross gaming revenue (GGR) of €6.264 billion, down 2.8%, and recognised revenue of €2.576 billion, down 5.6% year on year. The third quarter alone contributed €794 million of revenue, an 8.1% decline. The release is dated 21 October 2026 and covers trading through 30 September.

| Group GGR movement | −6.1% | −2.8% |

GGR means stakes less player winnings. It measures the operator's gaming yield, before applicable public gaming levies. Recognised revenue also incorporates other activities and is not the same as the cash deposited by customers. Public levies explain why a GGR movement need not match a revenue movement: the group identified €62 million of additional gaming taxes affecting the first nine months of 2026.
Management also cited fewer and smaller major lottery jackpots, unusually high player winnings in sports betting, and weaker traffic at French retail points of sale. These pressures have different causes. A high sports payout can temporarily reduce operator yield; lower retail traffic may indicate a more persistent demand problem. The reported figures do not permit a precise allocation of the overall revenue decline to each driver beyond the impacts expressly disclosed.
In October management revised its full-year guidance to a low-single-digit decline in GGR, a mid-single-digit decline in revenue and recurring EBITDA margin of around 23%. This superseded the more optimistic outlook given earlier in 2026. None of those targets is an achieved full-year result.
Financial History: 2023 to 2025
The FDJ UNITED annual report and consolidated financial statements show how quickly the reported size of the group changed. The profit trajectory was much less straightforward.
| Consolidated measure (€m) | FY2023 | FY2024 | FY2025 |
|---|---|---|---|
| Revenue | 2,621.4 | 3,065.1 | 3,677.5 |
| Recurring EBITDA | 657.0 | 792.3 | 902.0 |
| Operating profit | 521.1 | 528.6 | 366.5 |
| Statutory net profit | 425.1 | 398.9 | 175.9 |
| Net cash from operating activities | 628.9 | 577.0 | 837.0 |
Sources: FDJ consolidated financial statements for 2023 - 2025 and the company's annual results disclosures. Values are presented on the reported consolidation perimeter of each year; recurring EBITDA is the company's alternative performance measure.
Revenue rose between 2023 and 2025, and recurring EBITDA increased as the group expanded. Nevertheless, statutory operating and net profit fell markedly in 2025. The distinction is not academic: recurring EBITDA excludes depreciation and amortisation, while statutory profit reflects accounting charges and financing and tax effects that shareholders cannot simply ignore.
It would be equally misleading to describe the revenue increase as organic growth. The 2023 figures preceded the Kindred combination, and Kindred contributed only from 11 October 2024. The 2025 consolidated income statement includes a full year of the acquired businesses. The reported 2024 and 2025 figures therefore represent different scopes.
The FDJ UNITED annual report is essential for tracking which entities were consolidated at each date.
Kindred Makes Reported Growth and Comparable Growth Diverge
The clearest comparison is the one FDJ UNITED itself provided. Against the published 2024 revenue of approximately €3.065 billion, 2025 revenue of €3.678 billion represents about 20% growth. But management's restated 2024 base, calculated as though Kindred had joined from 1 January 2024 and reflecting the scope retained by FDJ UNITED, was approximately €3.788 billion.
On that restated basis, 2025 revenue was 2.9% lower, despite the apparently impressive reported increase. The comparison also shows that 2025 GGR rose by about 1% on the restated perimeter, while revenue fell by approximately 3%. Higher gaming taxes, including changes in France, the Netherlands and Romania, help explain why the two measures moved differently.
| FY2025 comparison | Reported FY2024 base | Restated FY2024 base |
|---|---|---|
| FY2024 revenue | €3,065m | €3,788m |
| FY2025 revenue | €3,678m | €3,678m |
| Change | +20.0% | −2.9% |
The restated base is an analytical comparator under the issuer's assumptions, not a replacement for the statutory 2024 accounts.
Acquiring revenue changes the comparison base; subsequent performance still depends on activity, yields, levies and costs. The transaction sequence appears in FDJ UNITED's acquisition history.
H1 2026: A Statutory Loss Alongside Adjusted Profit
For the six months ended 30 June 2026, FDJ UNITED reported revenue of €1.782 billion, down 4.5%, and recurring EBITDA of €403.9 million, with a margin of 22.7%. Those measures remained positive. However, the consolidated statutory net result was a loss of €16.2 million, compared with a profit of €135.7 million a year earlier.
The group's adjusted net profit for the same half-year was €179.6 million, versus €221.9 million in H1 2025. The adjusted measure does not refute the statutory loss. It is calculated after excluding specified accounting effects, including acquisition-related amortisation and impairment of certain assets, with relevant deferred tax effects.
One substantial H1 2026 charge was an impairment of approximately €135 million against intangible assets in Online Betting and Gaming. An impairment may not use cash in the period it is recognised, but it is still economically meaningful: it signals that the carrying amount of an asset cannot be fully supported by its revised accounting valuation. Treating every such charge as irrelevant because it is non-cash would conceal important information about past investment expectations.
| H1 2026 measure | € million | Interpretation |
|---|---|---|
| Recurring EBITDA | 403.9 | Operating performance before defined depreciation and amortisation |
| Statutory operating profit | 86.9 | After recognised operating and accounting charges |
| Statutory net result | −16.2 | Consolidated profit or loss under accounting rules |
| Adjusted net profit | 179.6 | Issuer-defined measure excluding specified items |
Adjusted net profit exceeded the statutory net result by €195.8 million. That difference is not one single impairment or a fully reconciled list of adjustments. The original interim financial statements govern the detailed bridge, including tax effects and other acquisition-related accounting. We would use both net-profit figures: one shows reported shareholder earnings, while the other helps isolate the company's chosen view of recurring earnings power.
Segments, Markets and Taxes
The nine-month 2026 trading statement exposed two very different pressures. French Lottery and Retail Sports Betting recorded €4.978 billion of GGR, down 3.5%, and €1.794 billion of revenue, down 4.8%. Meanwhile Online Betting and Gaming reported GGR of €1.013 billion, down only 0.8%, but revenue of €619 million, down 8.2%.
For the online division, management identified particularly difficult trading in Britain and the Netherlands. The reported market-level nine-month GGR measures were down 24.4% in the UK and 8.6% in the Netherlands. Excluding those two markets, online GGR grew 5.7% and revenue increased 0.8%. These are market and division measures, not stand-alone profit figures for Unibet, 32Red or a particular legal company.
The split is important. A weak market can drag down the consolidated result even when other markets grow, while higher taxes can make revenue fall faster than GGR. Conversely, improved GGR outside the two troubled markets does not guarantee stronger group profit: acquiring and retaining customers, regulatory compliance and technology all consume resources.
The different commercial mechanisms behind lottery, retail betting and online operations are examined in our FDJ UNITED business model. Here, the financial point is narrower: avoid turning one geographical percentage into a claim about all the group's products or its net earnings.
Cash Generation: Where Profit and Cash Part Company
FDJ UNITED generated approximately €837 million of net cash from operating activities in 2025, against €577 million in 2024. Its stated free cash flow was €782.4 million, up from €674.9 million. Management calculated an 87% conversion of recurring EBITDA into free cash flow for 2025, compared with 85% in 2024.
Free cash flow is an issuer-defined measure of cash generated from operations after related investments. It should not be confused with net operating cash flow in the statutory statement, nor derived by merely subtracting one headline capital expenditure amount from recurring EBITDA. Working capital movements, tax and cash-flow classifications can make a simple shortcut wrong.
The group also reported capital expenditure and other investment requirements associated with its retail infrastructure, digital products and technology. Reported cash generation is therefore evidence of operational capacity, not a promise that all cash is available to reduce debt. Dividends, acquisitions, financing costs and changes in working capital all compete for that cash.
For H1 2026, consolidated net operating cash flow was approximately €323.6 million, while cash and cash equivalents on the balance sheet stood at about €413.9 million on 30 June, down from €663.8 million at 31 December 2025. Those are separate flow and balance measures. We do not extrapolate either into a nine-month free-cash-flow figure because the October trading statement does not provide the necessary reconciliation.
Our assessment is that the 2025 cash conversion provides a stronger argument for financial resilience than revenue growth alone. It does not eliminate the need to monitor investment, dividends and debt servicing through a weaker trading period.
FDJ UNITED Debt: Dates and Definitions Matter
FDJ UNITED reported net financial debt of €1.721 billion at 31 December 2025 and €1.964 billion at 30 June 2026. Net financial debt therefore increased by €243 million between those dates. This is a movement between published snapshots, not a separately stated September financial result.
| Date | Net financial debt |
|---|---|
| 31 December 2025 | €1,721m |
| 30 June 2026 | €1,964m |
| Arithmetic change | +€243m |
The company's definition of net financial debt is more specialised than simply adding bank borrowings and subtracting the reported cash balance. It adjusts for financial assets and liabilities and excludes certain deposits, restricted cash and sums allocated exclusively to winners of EuroMillions and EuroDreams. It is therefore inappropriate to reproduce a competing data provider's generic “total debt” figure as though it were the same metric.
The H1 announcement also reported that Moody's Baa1 rating had been confirmed. That is a dated credit assessment, not evidence that future borrowing costs or refinancing conditions are fixed. Interest expense, maturity dates, covenants and liquidity facilities should be read from the original financing notes rather than guessed from a net-debt figure.
June 2026 net debt was unchanged versus June 2025, although higher than December 2025. These comparisons use different dates; seasonal distributions and investment requirements matter.
The October 2026 release gives no complete 30 September balance sheet. There is consequently no verified September net financial debt or leverage ratio to place beside the nine-month revenue number. Readers should resist any apparent precision that arrives without a dated financial statement.
What the Results Mean for the Group
We would judge FDJ UNITED on four separate tests.
First, does comparable trading recover? The 2025 restated revenue decline and 2026 pressure in Britain and the Netherlands show why acquisition-driven reported growth is an inadequate answer.
Second, does recurring operating performance translate into statutory profit? The €16.2 million H1 loss alongside €179.6 million adjusted profit demonstrates the importance of explaining acquisition accounting and impairment, not choosing whichever profit figure looks more attractive.
Third, can cash conversion remain strong? The 2025 free cash flow was substantial, but maintaining it while refreshing products and integrating technology will require both cost discipline and stable demand.
Finally, can the group manage leverage while funding investment and shareholder distributions? The June net debt level is higher than at the preceding December year-end. It does not alone establish a solvency problem, but it narrows the scope for careless assumptions about financial flexibility.
Management's October forecast points to a tougher 2026 than previously envisaged. The next full results should be tested against these measures. Operational exposures are covered in our risks and opportunities analysis.
