Who owns CIRSA? CIRSA Enterprises, S.A. is a publicly listed Spanish company, but its largest disclosed shareholder remains LHMC Midco S.à r.l., a Luxembourg vehicle linked to funds managed or advised by Blackstone. The group's half-year 2026 reporting records LHMC's stake at 74.23% of share capital on 30 June 2026, down from 78.40% before an April placement. That is a dated ownership snapshot, not a live shareholder register for November. CIRSA's Executive Chairman is Joaquim Agut; its Chief Executive Officer is Antonio Hostench.
This distinction matters because ownership, board representation and day-to-day management are three different relationships. A fund manager is not necessarily the registered shareholder. A director appointed to represent a major shareholder does not personally own that shareholder's stake. And the proposed combination with Lottomatica is not yet a completed change of control. For wider company context, see our CIRSA company overview.

Who Owns CIRSA Enterprises?
The legal issuer is Cirsa Enterprises, S.A., not Blackstone Inc. and not a casino-operating subsidiary. CIRSA is registered in Spain and its shares were admitted to the Spanish stock exchanges in July 2025. Listing allows other investors to hold its shares; it did not, by itself, remove the Blackstone-linked majority shareholder.
According to the interim ownership information for 30 June 2026, LHMC Midco held 74.23% after a placement on 1 April reduced its holding from 78.40%. The change represents 4.17 percentage points of the company's share capital between the two reported snapshots. Those percentages describe reported capital ownership, not necessarily a separately verified percentage of votes on 4 November.
The economically relevant question is not only how much capital a named entity holds, but whether it can determine resolutions at shareholder meetings and nominate board members. The reported majority holding strongly indicates a controlling shareholder position at that reporting date. It does not establish that every vote is identical to every share or that the ownership percentage stayed unchanged after June.
The CIRSA brands and subsidiaries are downstream operating businesses. They should not be confused with the upstream vehicles through which investors hold CIRSA Enterprises shares.
How Blackstone's Ownership of CIRSA Is Structured
“Blackstone owns CIRSA” is useful shorthand, but it compresses several legally distinct levels. The transaction announcement filed with Spain's securities regulator in September 2026 describes LHMC Midco as a company indirectly controlled by funds, managed accounts or limited companies managed or advised by Blackstone Inc. That language establishes a fund-management relationship; it is not a claim that Blackstone's senior executives own CIRSA in their personal capacity.
CIRSA's FY2025 consolidated financial statements identify LHMC TopCo S.à r.l. as the parent of LHMC Midco S.à r.l., the Luxembourg company holding the majority stake in Cirsa Enterprises, S.A. The 2025 IPO prospectus also describes intermediate holding structures, including LHMC Finco 2 and LHMC Holdco 2. These documents establish more of the historical chain than the shareholder name alone, but they do not constitute an independently verified, complete register of every upstream entity as at November 2026.
Blackstone Inc. - manages or advises investment structures
↓ Documented management or advisory relationship; upper legal chain not exhaustively verified
Blackstone-managed or advised funds and accounts - indirect control relationship stated in the September 2026 merger announcement
↓ Indirect control; some intermediate entities not fully established here
LHMC TopCo S.à r.l. - Luxembourg parent of LHMC Midco, according to FY2025 consolidated accounts
↓ Parent - subsidiary relationship confirmed in FY2025 accounts
LHMC Midco S.à r.l. - named Luxembourg majority shareholder
↓ 74.23% reported share-capital interest at 30 June 2026
Cirsa Enterprises, S.A. - Spanish listed parent company
| Entity | Function | Evidence and limitation |
|---|---|---|
| Blackstone Inc. | Investment manager or adviser associated with the controlling structures | September 2026 issuer filing; not identified as the direct holder of the 74.23% stake |
| Managed funds, accounts and associated entities | Indirect controlling investment structures | Described collectively in the issuer filing; not a complete beneficial-ownership register |
| LHMC TopCo S.à r.l. | Luxembourg parent company of LHMC Midco | Parent - subsidiary relationship explicitly disclosed in CIRSA's FY2025 consolidated accounts; not a November 2026 register of all upper-level holdings |
| LHMC Midco S.à r.l. | Named majority shareholder of CIRSA | Luxembourg registration B223388; LEI 254900D67V42SMSOUX68; 30 June 2026 holding snapshot |
| Cirsa Enterprises, S.A. | Listed issuer whose shares are held by investors | Spanish company; listed since July 2025 |
The TopCo - Midco relationship is documented, but showing every other potential intermediate company as an uninterrupted verified chain would create false certainty. The evidence supports indirect Blackstone-linked control, the identified TopCo parent and the named LHMC Midco holding; it does not establish every partnership, fund or ultimate beneficial owner above them. In particular, the 2025 prospectus is a historical structure disclosure, not a fresh November 2026 register.
CIRSA Shareholders, Capital and Voting Rights
A shareholder table is only meaningful with a denominator and date. Share capital refers to the proportion of issued equity attributed to a holder. Voting rights refers to votes that holder may exercise, potentially affected by voting arrangements, treasury shares or securities rules. We do not treat those measures as interchangeable where the source does not expressly do so.
| Shareholder or category | Share capital | Voting rights | Evidence date | Interpretation |
|---|---|---|---|---|
| LHMC Midco S.à r.l. | 74.23% | Not separately verified for this snapshot | 30 June 2026 interim reporting | Named majority shareholder; Blackstone-linked |
| LHMC Midco - earlier comparator | 78.40% | Not separately verified | Before 1 April 2026 placement | Historical comparator, not an additional holding |
| Joaquim Agut | 1.30% direct stake displayed on company governance page | Not separately verified | Page observed 4 November 2026; underlying stake date not supplied there | Executive's disclosed direct interest |
| Antonio Hostench | 0.7% direct stake displayed on company governance page | Not separately verified | Page observed 4 November 2026; underlying stake date not supplied there | CEO's disclosed direct interest |
| Other shareholders, including market investors | Not presented as an independently verified up-to-date register | Not separately verified | Requires dated CNMV notifications | Do not derive exact public float by subtracting mixed-date figures |
The table deliberately does not sum to 100%. Its entries draw on documents with different observation dates, and direct stakes published on biographies should not be turned into a freshly certified shareholder register. For a transaction-sensitive analysis, the current substantial-shareholding and treasury-share notifications at the Spanish CNMV remain the appropriate primary record.
How the IPO Changed CIRSA's Ownership
In 2018, investment funds managed by Blackstone acquired CIRSA from the founder's family. The Argentine operations were excluded from that transaction, remaining with the Lao family. The founder, Manuel Lao Hernández, therefore belongs in the company's historical ownership story rather than an unsupported claim that he still controls the listed group.
CIRSA's July 2025 IPO transformed it from a privately controlled business into a listed issuer. The distinction is important: public trading and majority control can coexist. The later April 2026 placement further reduced LHMC's disclosed percentage, but the 30 June snapshot still placed it above half of issued capital.
- 2018: Blackstone-managed funds acquire the group, excluding Argentine operations.
- July 2025: CIRSA shares begin trading on the Spanish stock market.
- 1 April 2026: A placement reduces LHMC's reported capital stake.
- 30 June 2026: Interim ownership snapshot reports 74.23% for LHMC.
- September - November 2026: Merger proposal with Lottomatica proceeds through formal approvals, without the combination having taken effect.
That sequence is the simplest safeguard against reading a 2018 acquisition headline as a current share-register extract. The fuller CIRSA history and acquisitions page covers the underlying corporate transactions.
Who Is CIRSA's CEO and Executive Chairman?
Antonio Hostench is CIRSA's CEO. CIRSA's official corporate-governance biographies say he has held that position since 2022. He previously led corporate development and strategy. The CEO is responsible for executive leadership and implementation of the group's business strategy; the designation is not proof that he holds every statutory office across CIRSA's international subsidiaries.
Joaquim Agut is Executive Chairman. His biography identifies him in that post since 2022; he previously served as CIRSA's CEO and general director between 2006 and 2022. The separation of Executive Chairman and CEO roles was formalised by the board in April 2022. An executive chairman leads the board and carries executive responsibilities, while the CEO directs day-to-day group management.
| Person | Role at CIRSA | Role since | Disclosed group scope |
|---|---|---|---|
| Joaquim Agut | Executive Chairman; executive director | 2022 | Listed parent; also described as joint administrator at Cirsa Gaming Corporation, S.A. |
| Antonio Hostench | Chief Executive Officer; executive director | 2022 | Listed parent; specifically disclosed roles include Sportium Apuestas Deportivas, S.A. and Yellow City Limited |
Both individuals were first appointed to CIRSA's board in July 2018 and show a subsequent appointment date of 18 June 2025 on its governance page. Those dates describe board appointments; they should not be mistaken for the dates on which their current executive titles began. The official page's shareholding figures likewise do not convert either executive into CIRSA's majority shareholder.
CIRSA's Board of Directors and Senior Management
The board governs the listed company and oversees its executive leadership. CIRSA's published governance roster contains nine directors. Its committee structure covers audit and compliance, appointments and remuneration, and sustainability, technology and innovation. These are oversight functions, not a list of all business-unit managers.
| Director | Published classification or office | First board appointment |
|---|---|---|
| Joaquim Agut | Executive Chairman | 3 July 2018 |
| Lionel Assant | Vice-Chairman; proprietary director representing LHMC Midco | 3 July 2018 |
| Antonio Hostench | CEO; executive director | 3 July 2018 |
| Miguel García | Proprietary director representing LHMC Midco | 3 July 2018 |
| Paloma Beamonte | Lead independent director; appointments committee chair | 18 June 2025 |
| Bernard Cortijo | Independent director | 18 June 2025 |
| Arancha Díaz-Lladó | Independent director; sustainability, technology and innovation committee chair | 18 June 2025 |
| Rocío Fernández | Independent director; audit and compliance committee chair | 18 June 2025 |
| Rocío Martínez-Sampere | Independent director | 18 June 2025 |
Lionel Assant and Miguel García are identified as representatives of the principal shareholder. CIRSA also describes professional positions they hold at Blackstone. Board representation is not a statement of personal ownership: the 74.23% company stake belongs to the disclosed shareholder vehicle, not separately to either director. The five independent directors are important to the governance picture because listing creates oversight obligations beyond the majority shareholder's appointments.
Senior Management Is a Different List
CIRSA's FY2025 annual corporate governance report, section C.1.14, separately identifies senior managers who were not executive directors. This table is a year-end 2025 disclosure, not a claim that every job remained unchanged on 4 November 2026.
| Person | Role in the FY2025 report |
|---|---|
| Antonio Grau Folguera | Chief Financial Officer |
| Miguel Vizcaino Prat | Chief Legal Officer |
| Francisco Javier Cots Vega | Corporate Director, People and Talent |
| Joan Ramon Balague Ribalta | Corporate Director, Audit |
| Jordi Riera Massaguer | Corporate Director, Compliance and Business Ethics |
| Carlos Duelo Riu | Corporate Director, Institutional Relations, ESG and Social Action |
| Rafael Echevarría Olabarria | Corporate Director, Image and Communication |
| Moisés Medina Morales | Corporate Director, Security |
| Laura Bernat Moragues | Corporate Director, Strategy and Projects |
| Rubén Bastida Martínez | Corporate Director, M&A and Corporate Development |
| Roger Vidal Contreras | Corporate Director, Management Control |
Antonio Grau's financial responsibilities must not be confused with Rubén Bastida's corporate-development role or Miguel Vizcaino's legal brief. Equally, a named manager of the listed parent is not automatically a registered director of its Mexican, Portuguese or Moroccan operating entities. Those local appointments require their own statutory evidence. The distinction also matters when reading CIRSA's financial results: executive accountability and shareholder entitlement are not the same thing.
What Would the Proposed Lottomatica Transaction Change?
On 2 September 2026, CIRSA and Lottomatica announced a binding agreement for a proposed cross-border merger. Under the plan, Lottomatica would absorb CIRSA and remain the surviving legal company; CIRSA shareholders would receive 0.668 new Lottomatica shares for each CIRSA share. The transaction remains subject to shareholder approvals, regulatory permissions and other specified conditions. The parties indicated a possible effective date in the second quarter of 2027, not an accomplished merger in November 2026.
The governance process has advanced beyond the initial announcement. On 8 October 2026, CIRSA disclosed the signing of the common draft merger terms and the convening of an Extraordinary General Shareholders' Meeting. On 28 October, it published the formal meeting notice. CIRSA lists 30 November 2026 as the first scheduled meeting date and 1 December 2026 as the alternative second-call date. These steps put the proposed transaction before shareholders for a decision; neither signing the plan nor issuing a meeting notice constitutes shareholder approval or legal completion of the merger.
The transaction presentation models roughly 67.5% ownership for existing Lottomatica shareholders and 32.5% for existing CIRSA shareholders in the eventual combined company. The latter would include an estimated 24% stake attributable to Blackstone. These are pro forma estimates conditional on completion; none is a replacement for LHMC's dated holding in today's separate CIRSA issuer.
If the transaction becomes effective, the relevant listed parent and board arrangements may change. Until then, CIRSA's existing board, CEO, shareholders and legal-entity boundaries must be described independently. Readers assessing the uncertainties can continue to our CIRSA risks and opportunities analysis.
Ownership and Leadership FAQ
Does Blackstone Own All of CIRSA?
No. The Blackstone-linked LHMC Midco vehicle was reported to hold 74.23% of share capital on 30 June 2026, not 100%. The figure is dated and should not be interpreted as a live November register.
Is CIRSA a Public Company?
Yes. Cirsa Enterprises, S.A. has traded on the Spanish stock exchanges since July 2025. Listing and a concentrated majority holding can exist simultaneously.
Does CIRSA's CEO Own the Company?
No. Antonio Hostench is the CEO, not CIRSA's controlling shareholder. CIRSA's governance page displays a 0.7% direct interest for him, but does not provide a separate effective date for that figure.
Is Manuel Lao Still CIRSA's Controlling Owner?
The available current ownership disclosures do not support that description. Manuel Lao is CIRSA's founder and a key historical owner. Blackstone-managed funds acquired the relevant group in 2018, and CIRSA later listed in 2025.
What the Ownership Structure Tells Us
Our reading is that CIRSA is best understood as a listed, majority-controlled company with separate professional management and board oversight. The most revealing evidence is not a single name but the dated distinction between LHMC's ownership, Blackstone's fund-management relationship, board representatives and CIRSA's executives. A proposed future merger adds another layer, but does not erase those present-day distinctions. Details of CIRSA's public security and corporate actions belong in our CIRSA shares and chart coverage.
