IGT Gaming: Company and Business Overview

Written by Lucky BetMastermind, with help of ChatGPT.

IGT is now a privately held supplier of casino gaming, digital content and financial technology. The business was created in its current form on 1 July 2025, when funds managed by Apollo affiliates acquired the former International Game Technology PLC's Gaming & Digital operations and Everi Holdings. The combined enterprise operates as IGT. The former listed International Game Technology PLC continued separately as Brightstar Lottery, rather than becoming the listed parent of the new IGT group.

That distinction changes how almost every older IGT profile should be read. The current company supplies machines, gaming systems, online content, payment access and related technology to operators. It is not itself the owner of every casino featuring an IGT game, and its financial results cannot simply be copied from the former lottery-and-gaming PLC.

What is IGT today?

IGT is the commercial identity of a combined technology supplier, not the same legal entity as every company historically called International Game Technology. Its consolidated reporting parent is Voyager Parent LLC, a Delaware company established in July 2024 in connection with the transaction structure. The operating companies, brands and licensed subsidiaries sit beneath that wider private-group perimeter.

Apollo-managed investment funds provide the principal ownership interest, with a minority interest linked to De Agostini. This is not equivalent to saying that every share is held directly by the listed Apollo Global Management company, or that a named individual is the sole beneficial owner. The detailed investment vehicles and control arrangements belong in our IGT ownership and management guide.

How IGT and Brightstar Lottery became separate businesses

The name International Game Technology has roots in the 1970s and a major 2015 combination with GTECH. Neither date is the incorporation date of today's Voyager reporting parent.

The decisive corporate change occurred on 1 July 2025. Apollo-affiliated funds completed the acquisitions of the former IGT PLC's Gaming & Digital business and Everi. The former PLC retained the lottery business under the Brightstar Lottery name. In practical terms, the customer-facing and investor-facing references that previously sat under one familiar IGT name now point to separate businesses.

The post-2025 corporate split

Before the transaction After the transaction What it means
International Game Technology PLC's lottery activities Brightstar Lottery, separate listed lottery company Lottery contracts and the remaining PLC are outside the private IGT supplier group
Former IGT Gaming & Digital operations Private IGT, consolidated through the Voyager group Gaming equipment, systems and digital content form part of the combined supplier
Everi Holdings Private IGT, combined with former IGT Gaming & Digital Casino-oriented FinTech and additional gaming products become part of the wider business

This is a transaction and reporting-perimeter map, not a chart claiming Brightstar owns Voyager. It also explains why an article reporting a pre-deal IGT group revenue figure may be accurate for its own year but inappropriate for a discussion of the current private group.

What does IGT supply to casinos and gaming operators?

The business is best understood as three connected, but distinct, supply activities. In each case an operator or another commercial customer usually sits between IGT's technology and the person gambling.

Business area Typical supply role Important boundary
Gaming Land-based gaming machines, game content and casino-management systems The machine or game supplier does not automatically own the casino floor
Digital Online casino games, remote distribution and supporting technology A title appearing on a gambling website does not establish IGT as the site's licensed operator
FinTech Casino cash access, payment-related systems, loyalty and associated services Gross payment flows handled through technology are not equal to IGT's recognised revenue

Gaming machines may be sold, leased or supplied under other contracts. Their revenue treatment depends on the arrangement.

Digital supply has a different delivery mechanism: the content or platform can reach multiple licensed gaming websites. That offers potential operating leverage, because a successful game can be distributed beyond one venue. It also creates dependencies on the operator's licence, jurisdictional approvals, platform integration and commercial terms. Being available on a platform is not the same as earning revenue from every visitor to it.

FinTech brings a further distinction. A casino may use technology to help customers access cash, move funds or participate in loyalty programmes. The total amount of transactions passing through those systems can be much larger than the fee or other revenue the supplier recognises. Payment throughput is not IGT turnover. Treating the two as equivalent would substantially misrepresent the business.

Our IGT business model and technology analysis examines these mechanisms.

Where do Everi and PlayDigital fit?

Everi is a significant part of the present group's operating heritage, not the unrelated British parcel-delivery brand Evri. The similarly spelled names have generated misleading search results and online-review matches. Courier complaints cannot responsibly be used as a reputation measure for Everi's casino technology.

Everi brought casino gaming, payments and loyalty capabilities. Product names do not identify the legal counterparty for every contract.

IGT PlayDigital denotes digital gaming content and technology in the supplier portfolio. The digital heritage also includes acquired content businesses such as iSoftBet, but historical acquisitions and individual product licences should be checked against current group boundaries. Likewise, third-party intellectual property appearing in a game does not automatically become IGT-owned intellectual property.

The IGT products, brands and subsidiaries page maps these relationships.

IGT in the United Kingdom

For UK readers, IGT matters chiefly as a supplier to the regulated gambling industry rather than as a direct consumer-facing casino. Certain IGT-related legal entities have appeared in the UK Gambling Commission's public register under distinct account numbers and activity descriptions. That does not confer one universal licence on every business using the IGT name.

The current group materials identify UK supplier entities including IGT UK Interactive, with UKGC account reference 64570, alongside other separately recorded IGT-related businesses. A precise licence statement must name the holder, permission type, status and relevant date. A software-supply authorisation is not automatically permission to operate a gambling website or to accept deposits from UK players.

An announced December 2025 IGT digital-content launch with bet365 illustrates distribution, not ownership of bet365. Availability and approvals may vary by market.

That distinction is the focus of our IGT markets, partners and licences guide. Current permissions depend on the legal holder, regulated activity and date of the regulator’s record.

How large is the current IGT group?

The clearest starting point is Voyager Parent LLC's 2025 consolidated financial reporting, expressed in US dollars. The calendar-year accounts cover 1 January to 31 December 2025, but the acquired operating businesses entered this reporting perimeter only from 1 July 2025. That makes the figures inappropriate as a straightforward twelve-month, like-for-like operating comparison with historical IGT PLC figures or pre-deal Everi.

Voyager Parent LLC FY2025 measure Reported amount How to read it
Revenue US$1.322 billion Consolidated result under the post-acquisition reporting perimeter
Operating result US$120 million loss Includes the applicable costs and accounting effects; not a standalone measure of game popularity
Net result US$331 million loss Includes items below operating profit; not interchangeable with cash flow
Unrestricted cash US$468 million Dated balance-sheet stock, not additional revenue
Gross principal debt US$4.319 billion Financing exposure requiring consideration alongside liquidity and repayment terms

Acquisition accounting, financing and the part-year consolidation period are material to interpreting these figures.

The large debt balance is a reason to analyse interest costs, maturities, covenants and cash conversion before declaring the combination financially resilient. It is not sufficient evidence on its own to conclude that the private group is insolvent. Nor should the group's dollar figures be added to a UK subsidiary's separate sterling accounts; consolidated reporting may already include those entities.

Our IGT financial results page deals with the accounting perimeter and financing in detail. The part-year operating contribution and acquisition financing are central to interpreting the group’s scale.

Who owns and manages IGT?

At 31 December 2025, the reported economic interests in the transaction structure were approximately 88.66% for Apollo-related funds and 11.33% for De Agostini-related interests. Rounded figures should not be turned into a false precision claim about every remaining fraction, personal shareholder or voting entitlement. Economic interests, management control and direct legal shareholding may follow different entities in the structure.

Hector Fernandez joined the combined business in December 2025 and is identified as CEO in later issuer communications, leading its Gaming, Digital and FinTech activities. Other management responsibilities have continued to develop as the two inherited businesses integrate. A planned appointment or handover should not be described as completed without checking the condition and date in the current announcement.

Is IGT publicly traded?

The present combined IGT group is privately held. There is no appropriate live 'IGT share price' for ordinary equity in Voyager Parent LLC or its private operating group. The former NYSE: IGT security related to the predecessor PLC, which became the separate Brightstar Lottery business. Historical EVRI prices relate to the formerly listed Everi company, not a currently tradable share in the combined private enterprise.

Brightstar shares reflect a separate lottery company; listed Apollo shares reflect a much broader investment manager.

For a careful explanation of the historical tickers, separated businesses and investment context, see IGT shares and corporate outlook. This page does not invent a price chart, current market capitalisation or analyst target for an unlisted company.

The distinction between the private supplier and the former PLC is the gateway to the rest of the research. For a focused next step, choose the relevant question:

Our view: IGT is an unusually useful example of why corporate identity must precede performance analysis. Its mix of machines, digital content and FinTech gives customers several routes to buy technology, while the transaction structure and financing demand careful scrutiny. The central question is not whether a familiar IGT game appears in a casino, but whether the current private supplier can turn those product relationships into lasting cash generation under its own capital structure.
