DraftKings History: Founding, Mergers and Acquisitions

By Lucky BetMastermind - with help of ChatGPT

The history of DraftKings begins with daily fantasy sports, but its present corporate structure was built through a series of very different transactions. The 2020 combination brought public-market access and SBTech's betting technology. Golden Nugget Online Gaming added a second online casino identity; Jackpocket brought lottery courier services; Simplebet and Railbird added specialised technology and market infrastructure. One prominent proposal, for Entain, never became an acquisition.

The key distinction is between agreement, completion and integration. An announced valuation and later purchase accounting may use different bases. This chronology keeps those events separate.

When Was DraftKings Founded?

DraftKings was founded in December 2011 by Jason Robins, Matthew Kalish and Paul Liberman; its initial consumer product launched in 2012. Both dates appear in accounts of the company's beginnings because one refers to the formation of the business and the other to its market debut. The distinction matters when answering the simple question of when DraftKings started.

Its original proposition was daily fantasy sports (DFS), where participants entered contests based on athletes' performances. That model gave the young business a digital customer relationship and a recognisable sports identity before it operated the regulated sportsbook offering associated with DraftKings today.

The public parent later underwent separate legal restructurings in 2020 and 2022, so it should not be confused with the founders' original business.

From Fantasy Sports to a Sportsbook Business

DraftKings became closely associated with the US expansion of regulated sports betting after the Supreme Court's 2018 decision removed a major federal constraint on state authorisation. That ruling did not create one nationwide licence. States developed separate regimes, and operators had to enter eligible markets under local conditions.

For DraftKings, the move from fantasy contests into sportsbook operations changed the business. Accepting sports bets requires trading, risk management, payments, compliance and market-specific permissions beyond the mechanics of a fantasy contest. The company also expanded into online casino gaming where permitted. These were related consumer products but not interchangeable legal activities.

This shift explains why an acquisition of betting-platform technology became strategically important. Growth could no longer depend only on acquiring fantasy players and a recognisable brand; operating infrastructure mattered. The detailed product economics belong in our DraftKings business model guide, while this page tracks the corporate decisions that made the transition possible.

For UK readers, US expansion does not imply British availability: DraftKings ceased its Great Britain fantasy offering in October 2024.

The 2020 Public Listing and SBTech Combination

On 23 December 2019, DraftKings, Diamond Eagle Acquisition Corp. and SBTech (Global) Limited announced a business-combination agreement. The transaction closed on 23 April 2020, and shares in the resulting listed business began trading on Nasdaq under DKNG on 24 April 2020. It was a three-party public-market combination, not simply an ordinary purchase of SBTech by the 2011 start-up.

The legal sequence deserves particular care. A Nevada company originally formed as DEAC NV Merger Corp. became the surviving successor in the Diamond Eagle reincorporation steps and was renamed DraftKings Inc. The former operating DraftKings Inc. was a Delaware corporation, sometimes called Old DK in transaction documents. The combination also brought SBTech into the group. The Nevada successor created through the 2020 combination should therefore not be confused with the founders' original Delaware corporation. The publicly traded parent changed again in the 2022 reorganisation described below.

SBTech supplied established betting-platform capabilities. DraftKings could pursue a more vertically integrated sportsbook model, although possession of technology and successful migration to it are different milestones. In early 2021 the company was still discussing its planned platform migration; later public updates reported operational progress. Closing the acquisition did not mean every market switched technology overnight.

The transaction also brought regular SEC disclosures and listed-company obligations. A historic merger valuation should not be repackaged as current capitalisation or the precise cash paid for SBTech.

The listed-company structure changed again on 5 May 2022. As part of the completed Golden Nugget Online Gaming acquisition, a new Nevada holding company, New Duke Holdco, Inc., became the publicly traded parent and adopted the DraftKings Inc. name. The previous Nevada-listed DraftKings Inc. was renamed DraftKings Holdings Inc. and became a subsidiary of the new parent, alongside the acquired GNOG business.

DraftKings therefore had two distinct public-company restructuring milestones: the Diamond Eagle and SBTech combination in April 2020, followed by the GNOG-related holding-company reorganisation in May 2022. The DraftKings Inc. name continued, but the legal identity of the publicly traded parent changed.

DraftKings Acquisitions Timeline: Announced, Completed or Abandoned?

The table captures the transaction milestones that most changed DraftKings' capabilities. Dates in the announcement and closing columns are different events; where one is not established in this summary, it is explicitly left unasserted.

The announced figures for GNOG and Jackpocket are headline transaction measures, whereas Railbird's figure is a preliminary purchase-accounting total. They are not directly comparable amounts of cash transferred at closing.

Golden Nugget Online Gaming: The Casino Portfolio Expands

DraftKings announced an agreement to acquire Golden Nugget Online Gaming, Inc. on 9 August 2021, describing an all-stock transaction with an implied equity value of approximately US$1.56 billion at announcement. The acquisition was completed on 5 May 2022, alongside the new public holding-company structure described above. The headline valuation reflects the terms and assumptions when announced; it should not be misdescribed as cash paid from DraftKings' account.

GNOG strengthened DraftKings' exposure to online casino gaming and introduced another established consumer brand. The company presented cross-selling, technology and marketing efficiencies as potential advantages, but anticipated synergies were management's rationale, not proof that every efficiency had already been achieved.

The boundary of the deal was equally important: the physical Golden Nugget casinos were not acquired. Those land-based properties remained outside the online gaming transaction. Nor should the separate Golden Nugget legal entities appearing in later group disclosures be treated as one company merely because their names resemble one another.

Acquiring a casino brand also increases integration and licensing complexity. Brand continuity, customer systems, legal entities and jurisdiction-specific operators are separate matters. Our DraftKings brands and subsidiaries guide covers the present-day group map, including distinct Golden Nugget Inc. and LLC entries.

Jackpocket: Moving Into Lottery Courier Services

DraftKings announced the proposed Jackpocket purchase on 15 February 2024. The company quoted approximately US$750 million of total proposed consideration, roughly 55% cash and 45% DraftKings shares, with contractual price-adjustment mechanisms. The agreement itself was signed on 11 February.

Here the difference between an accounting closing date and a public announcement is material. DraftKings' subsequent SEC reporting identifies 22 May 2024 as the Jackpocket closing date; the company issued its completion announcement on 23 May 2024. Both dates can be correct without representing two separate acquisitions.

Later SEC purchase disclosures reported approximately US$452.3 million in cash consideration and US$320.8 million in equity consideration for Jackpocket shareholders, subject to the filing's stated transaction scope. This differs from the earlier 55/45 announcement estimate because the terms were subject to closing adjustments and share-price mechanics. The initial US$750 million headline is not an immutable final cash price.

Jackpocket's contribution was a digital lottery courier service. Customers in supported US locations could request the purchase of eligible state lottery tickets, but the state lottery itself was not purchased. For DraftKings, the commercial opportunity lay in another consumer channel; the added complications involved courier fulfilment, local permissions and a business model distinct from sportsbook wagers.

Simplebet: From Technology Partner to Acquired Capability

DraftKings had a commercial agreement with Simplebet as far back as August 2021, when the parties discussed in-play micro-betting products. A commercial relationship did not mean that DraftKings owned Simplebet at that date.

The acquisition agreement followed on 28 August 2024, and DraftKings' SEC disclosure identifies 3 December 2024 as the closing date. The transaction brought specialised in-play micromarket content and pricing technology into the group. Such capabilities can support a richer live-betting offering, but any claim of an immediate improvement in revenue or profit would need separate measurement.

The filed consideration included approximately US$36.0 million cash, US$45.1 million equity and an additional contingent-equity component. One subsequent filing valued that contingent element at approximately US$53.5 million at acquisition date. A contingent fair value is not the same as an unconditional payment already made, and an earn-out depends on its contract conditions.

Railbird: The Route Towards DraftKings Predictions

On 21 October 2025, DraftKings announced and completed its acquisition of Railbird Technologies Inc. and its exchange subsidiary, Railbird Exchange, LLC. This took DraftKings into infrastructure for federally regulated event-contract trading, a different field from conventional state-licensed sports betting.

The June 2026 Form 10-Q sets out preliminary acquisition accounting of US$18.296 million cash, US$28.708 million equity and US$37.785 million present-value contingent consideration, totalling US$84.789 million. The contingent figure depends on assumptions and future performance rather than representing cash already disbursed. The separate US$58.1 million valuation of an operating-licence intangible is an allocation within purchase accounting, not a government licence fee or additional acquisition price to add on top.

DraftKings later announced the proprietary DKeX exchange in June 2026 and developed its customer-facing Predictions offering. The acquisition offered both technology and a regulated-market starting point; it also introduced another legal and compliance architecture. A designated exchange, a consumer-facing intermediary and a state sportsbook are not the same kind of entity.

Purchase accounting and operational progress must be kept apart. DraftKings described the Railbird contribution to consolidated revenue in the first half of 2026 as immaterial. That does not prove the long-term strategy will succeed or fail; it simply limits what can be concluded about the acquired business's immediate financial scale.

The DraftKings Bid for Entain That Never Happened

DraftKings considered a combination with UK-listed gambling group Entain plc in 2021. The potential transaction attracted attention because Entain owned established betting brands and operated internationally. However, public interest and preliminary proposals are not a completed acquisition.

On 19 October 2021, DraftKings noted an extension of the UK Takeover Code deadline for declaring a firm offer or an intention not to proceed. On 26 October 2021, it announced that, after further consideration and discussions, it would not make a firm offer for Entain. No Entain purchase closed, and Entain did not become a DraftKings subsidiary through this episode.

The abandoned approach matters historically because it illustrates the group's interest in scale and international reach, but it must not be credited with acquired brands, revenue or integration benefits. In a transaction timeline, “abandoned” belongs in a different status from “completed”.

What Did These Transactions Actually Change?

The pattern was not one uninterrupted takeover spree. The 2020 combination joined public-market access with sports-betting technology. GNOG expanded the online casino brand portfolio. Jackpocket added a lottery courier channel. Simplebet deepened in-play pricing capabilities. Railbird added event-contract exchange infrastructure. The unsuccessful Entain approach changed none of the group's acquired assets.

Each completed transaction introduced something different to integrate: regulated legal entities, specialist employees, products, customer channels, software or reporting requirements. Acquisitions also brought accounting complexity through goodwill, identifiable intangibles and contingent consideration. Those items should not be confused with either actual cash flow or proof of realised cost savings.

To judge results rather than intentions, a reader needs subsequent earnings, cash-flow and integration disclosures. We address those in the DraftKings financial results guide. A corporate chronology explains how the group obtained capabilities; it does not itself establish that every acquisition generated an attractive return.

From Fantasy Start-Up to Diversified Listed Group

DraftKings' evolution is a story of different corporate mechanisms: starting a product, entering regulated markets, becoming a listed company, buying specific businesses and occasionally walking away from a proposed deal.
