Banijay Gaming Brands and Subsidiaries Explained

Author: Lucky BetMastermind, with help of ChatGPT. Independent GambleBallers corporate research; not an operator endorsement or gambling offer.

Banijay Gaming's core confirmed gaming businesses, as at 3 November 2026, are Betclic, Tipico and the Austrian Admiral operations. They sit within a corporate structure that includes the French Banijay Gaming holding company, a separate Betclic Tipico Group entity and local operating companies. That does not make each brand a directly owned subsidiary of the same French company, nor does one licence cover every brand and country.

For the group’s identity and its relationship with the listed parent, read our Banijay Gaming company overview.

The simplest way to read the portfolio is to separate four questions: what customers call the service, which registered company operates it, what corporate relationship is evidenced, and whether the asset is current, former or merely proposed. Banijay's television studios belong to the group's entertainment side, not this gambling portfolio.

Banijay Gaming's Portfolio at a Glance

This table is a practical perimeter map, not a complete statutory register. “Current” means the relevant business was within the documented Gaming perimeter at the research cut-off; it does not imply identical commercial offerings in all territories.

The corporate announcement completing the Tipico combination on 23 April 2026 names Betclic, Tipico and Admiral and describes six key markets: Germany, France, Portugal, Austria, Poland and Côte d’Ivoire. Those are group-level markets; the table deliberately avoids assigning all six countries to every brand.

Where Does Betclic Tipico Group Fit?

Two similar French company names must not be collapsed into one record. Banijay Gaming SAS is registered under SIREN 501 420 939. The same French legal identity previously carried the name Betclic Everest Group. Betclic Tipico Group SAS, registered under SIREN 990 139 156, is a different entity, described in the reviewed records as a subsequent intermediate structure. Its earlier name was Betclic Holding.

French registration material documents a change of name around the April 2026 transaction and subsequent July contributions of assets. These events explain why a hierarchy drawn from an older Betclic Everest Group filing may no longer show the complete post-transaction structure. Corporate names can change, and new entities can be inserted, without every local operator changing its customer-facing brand.

Corporate and operating relationships, evidence-based overview, 3 November 2026. This diagram groups entities by their roles within the Banijay Gaming business. It is not a complete statutory ownership chart. Except for the disclosed parent-level interest, individual direct shareholding links and percentages remain unverified without relevant company filings.

Level 3, brands and companies: Betclic operators · Tipico group/operators · Austrian Admiral businesses

At closing on 23 April 2026, Banijay Group reported ownership of 65% of Banijay Gaming's capital, alongside the Betclic and Tipico founders and CVC. The stated ambition to increase the holding through call options is a future possibility, not proof of a completed transfer. This percentage must not be reused as the direct ownership percentage of Betclic Tipico Group SAS or any Maltese or Austrian operator.

That is the critical distinction between a controlled group perimeter and a verified direct subsidiary chain. An entity can be consolidated or associated with the business without being directly owned by the French parent whose name appears on a corporate website. For upstream shareholders and voting rights, see who owns and controls Banijay Gaming.

Betclic: Brand and Operating Structure

Betclic is a consumer-facing brand, not the universal legal identity of every Betclic service. The research identifies distinct Maltese businesses in country-specific documents. The name on an individual site's terms is therefore more useful for identifying the contracting operator than the brand mark at the top of the website.

France: Betclic Enterprises Limited

French-facing terms identify Betclic Enterprises Limited (Malta registration C49376) as the operator. The product and authorisation context covers sports betting, horse-racing betting and poker under the French framework. It would be incorrect to infer that every other gambling product, particularly an online casino offering, is included in those French permissions.

Portugal: BEM Operations Limited

Portuguese-facing terms identify BEM Operations Limited (Malta registration C70387). The Portuguese regulator's licensed-entity material links the Betclic site to this operator and records its relevant betting and online gaming permissions. That does not make BEM the sole operator of the Betclic brand worldwide. The same company may appear in other market documentation, but each claim needs its own source and date.

These two examples explain the naming trap: the presence of Betclic on a licence is not a substitute for identifying the licence-holder's registered company and territorial scope. A corporate holding, a trademark proprietor and a regulated operator may be three separate actors. Country-specific conditions belong to our dedicated markets page, not to a generic assertion that Betclic is licensed “everywhere”.

Tipico: Brand and Operating Structure

Tipico joined Banijay Gaming's combined perimeter when the announced acquisition completed on 23 April 2026. Tipico Group Limited (Malta registration C75334) represents a corporate group identity; Tipico Co. Limited and Tipico Games Limited are separately identified operating companies in German regulatory material.

Germany's authorised-provider list associates Tipico Co. Limited (Malta C34286) with the Tipico sports betting operation. It separately records Tipico Games Limited (Malta C40324) in connection with virtual-slot offerings. This is a concrete example of two regulated activities using different operating-company records within the same wider brand family.

Tipico's business also includes physical betting channels. In this respect it complements Betclic's digital position, but the combined company's commercial narrative is not sufficient evidence of the complete ownership chain for every outlet or subsidiary. Retail presence, online product availability and company registration are different categories of fact.

The acquisition brought Tipico into the Banijay Gaming business; it did not turn all Tipico operating companies into single-purpose branches of Betclic. Readers comparing a sportsbook site, a registered company and a listed group must preserve that distinction. For business economics rather than legal identities, see how Banijay Gaming makes money.

Where Admiral Austria Fits, and What It Does Not Mean

The relevant Admiral portfolio here is the Austrian business connected with Tipico. Tipico had acquired the Austrian operations from NOVOMATIC before the wider Tipico combination with Banijay Gaming. This explains why Admiral appears beside Betclic and Tipico in Banijay's April 2026 transaction announcement.

Two Austrian legal names illustrate the scope: Admiral Sportwetten GmbH, associated with sports betting, and ADMIRAL Casinos & Entertainment AG, associated with the Austrian casino and entertainment perimeter. The research links them to Austrian company-register records and the documented Tipico transaction. Their functions and permissions must be assessed individually.

What Admiral Austria does not establish: ownership of every Admiral-branded website worldwide; ownership of NOVOMATIC itself; or control of an unrelated business called Admiral in the UK. The same name across countries is not an ownership document. Without a source establishing the exact company and territory, a shared word or logo has no probative value.

Brands, Companies and Licences Are Different

A useful corporate portfolio should label the kind of relationship, not just put names in adjacent boxes:

TermWhat it establishesExample from this perimeter
BrandCustomer-facing commercial identityBetclic or Tipico
Holding or subholdingCorporate vehicle; ownership direction and stake need filingsBanijay Gaming SAS; Betclic Tipico Group SAS
OperatorRegistered business providing a defined service under its termsBetclic Enterprises Limited; Tipico Co. Limited
Licence-holderNamed entity authorised for stated products and territoryTipico Games Limited for a specific German activity
Parent controlInfluence or ownership at a specified corporate level and dateBanijay Group's reported 65% at the April closing

A trademark registration may identify a rights-holder without proving who operates the gambling website. Similarly, a public parent can report a business segment without being the named licence-holder for every activity. Company ownership and gambling authorisation are related but separate evidence questions.

The six group markets named in the Tipico completion release are not a licence schedule. Nor does a corporate portfolio imply a current UK-authorised consumer offering. No present UK-licensed gaming brand was established in the reviewed records. For source-by-source operator and country checks, use Banijay Gaming markets and licences.

Former Assets and Announced Additions

A current portfolio list becomes misleading if it silently includes a disposed holding or treats a signed transaction as completed. The following distinction is part of the company map, not a prediction about future deal outcomes.

BusinessDocumented eventStatus at research cut-offEditorial treatment
bet-at-homeBanijay announced disposal of its historic stakeFormer holding; soldHistorical context, not a current sister brand
JOAAgreement announced 6 July 2026; completion subject to consultation and approvalsAnnounced acquisition; completion not established in researchDo not list as an unconditional current subsidiary
TipicoClosing confirmed 23 April 2026Acquired; currentInclude in the existing Gaming perimeter

JOA's announcement discusses an intended addition of French land-based casinos, but its forward-looking language must not be mistaken for ownership already transferred. Conversely, historic references to bet-at-home may have been accurate at the time without describing the portfolio today. Our history of acquisitions and disposals explains the sequence in more detail.

The Bottom Line

Betclic, Tipico and Admiral Austria are the verified headline businesses of the combined Banijay Gaming perimeter in November 2026. Banijay Gaming SAS and Betclic Tipico Group SAS are distinct legal entities; the brands sit above multiple local operators, and their permissions are country- and product-specific. JOA remains an announced transaction in this evidence set, while bet-at-home is historical.

The safest reading of a corporate group chart is always name → legal entity → relationship → date → territory. That rule prevents a media subsidiary, an unrelated Admiral business or a proposed acquisition from silently becoming a supposedly owned gambling brand.
