Banijay Gaming's history is a story of changing corporate boundaries. Its Betclic heritage predates the present name, but the decisive shift came when the Banijay group agreed to combine that established betting business with Tipico. The agreement was announced in 2025; the transaction closed on 23 April 2026. Tipico brought an established German-facing operation and its recently acquired Austrian ADMIRAL business into the combined perimeter. Meanwhile, Banijay exited its majority stake in bet-at-home. A proposed acquisition of French casino operator JOA was subsequently announced, but it should not be confused with an already completed addition.
This account follows the evidence available on 3 November 2026. Each milestone distinguishes an announcement from a completed change in ownership or reporting. For the present-day corporate snapshot, see our Banijay Gaming company overview.
Banijay Gaming History at a Glance
The sequence matters. A signed agreement identifies an intended transaction; closing establishes that it has taken effect. A change of legal name, an acquisition of shares and an accounting consolidation are different events.

Before Banijay Gaming: Betclic and Betclic Everest Group
To understand the acquisitions, start with the business rather than the current name. Betclic was an established sports betting and gaming operation before Tipico joined it. Betclic Everest Group was a previous corporate identity within the gaming side of the wider Banijay structure. Banijay Group N.V., the listed parent, must not be confused with the operating gaming business or with any individual licensed bookmaker.
Nor should the long history of Banijay's television production and entertainment assets be presented as the history of its betting subsidiary. The two activities sit within the broader group but have distinct operating markets, regulatory requirements and acquisition narratives. The relevant historical question is which gaming activities were in the perimeter at a particular date.
French corporate records identify Banijay Gaming SAS under SIREN 501 420 939, with a prior name of Betclic Everest Group. The company-name decision recorded on 23 April 2026 coincides with the close of the Tipico combination. A rename is evidence of legal-identity continuity; it does not, by itself, demonstrate that every betting licence or operating company was transferred directly into that SAS.
A second French entity, Betclic Tipico Group SAS (SIREN 990 139 156, previously Betclic Holding), is relevant to the integrated structure. These are distinct legal persons. Their relationship to licensed operators must be read from entity-specific records, not inferred from a shared brand or a similar corporate name. Our brands and subsidiaries investigation traces those distinctions in greater depth.
The Tipico Deal: Announcement, Approval and Completion
The Initial Agreement Was Not the Closing
On 28 October 2025, Banijay Group announced its agreement with CVC and Tipico's founders to combine the gaming businesses. At that stage the release described a planned combination, subject to the remaining steps required for completion. Contemporary descriptions of the future group could explain the strategic ambition, but they could not yet establish the resulting legal ownership or the date from which Tipico's earnings would be included in consolidated accounts.
This is a recurring trap in acquisition reporting. An announcement may name a buyer, target, sellers and intended commercial perimeter; a later completion notice is needed to confirm the outcome. The two documents answer different questions. It would therefore be misleading to date the completed Banijay-Tipico integration to the first announcement alone.
Closing on 23 April 2026
Banijay Group announced completion of the Tipico transaction on 23 April 2026. Its release described a gaming combination centred on Betclic, Tipico and ADMIRAL Austria. It also reported that the listed Banijay Group held 65% of Banijay Gaming's capital at closing. This was a controlling interest, not 100% ownership: other shareholders included founders associated with Betclic and Tipico and CVC.
Banijay outlined mechanisms under which its percentage could rise in the future. Such option arrangements do not establish that a higher percentage had already been acquired. Equally, the 65% parent-level figure should not be copied onto the separate operating companies as if every subsidiary had precisely the same shareholders.
The transaction brought Tipico into the combined business and changed the reporting perimeter. Banijay's 2026 interim results include Tipico from the 23 April closing date, not for the entire first half. That matters when comparing reported growth with earlier years or with illustrative figures assuming the businesses had been together sooner. See Banijay Gaming financial results for reporting-period and pro forma distinctions.
Why ADMIRAL Austria Appears in This History
Tipico had already completed the acquisition of ATLAS Group GmbH, the parent company of the Austrian ADMIRAL operations, from NOVOMATIC. Tipico's announcement dated 8 September 2025 confirms that earlier transaction. The order of events is important: ADMIRAL Austria first joined Tipico's business and was subsequently part of the larger combination when the Banijay-Tipico transaction closed.
That is not equivalent to Banijay Group directly purchasing all of NOVOMATIC, or to every business worldwide using the ADMIRAL name joining Banijay Gaming. The historical scope is the specified Austrian operation. Precise licensing entities and territory-specific permissions are dealt with in our guide to markets, operators and licences.
How Tipico Changed the Gaming Business
Before the combination, Betclic was the clearest public reference point for Banijay's gaming operation. After the April close, the business combined three substantial commercial identities with different geographic and channel strengths. Tipico expanded its exposure to German-speaking markets and brought a retail betting heritage; ADMIRAL Austria added a distinct Austrian presence. Betclic remained an important online-facing business.
Banijay's completion materials identified a footprint including Germany, France, Portugal, Austria, Poland and Côte d'Ivoire. A market's inclusion in a corporate presentation, however, should not be interpreted as proof that every service is legally available to consumers in every territory. Product permissions and licensed entities need their own checks.
The strategic significance is the change in operating mix, not just the addition of two logos. Combining online betting, different national operations and physical retail networks may create opportunities for shared technology, distribution and marketing. Those are business-model possibilities, not proof that expected synergies have been realised. The fuller commercial explanation belongs in our Banijay Gaming business model analysis.
There is also a measurement problem. Banijay's reported 2025 gaming revenue covered its then-consolidated business, whereas later published combined or pro forma comparisons can incorporate Tipico on a hypothetical basis. A larger illustrative revenue figure is not interchangeable with the revenue actually reported for 2025. The acquisition date, reporting perimeter and measurement convention must travel with every number.
The bet-at-home Stake Sale: An Exit, Not a Closure
Banijay Group disposed of its 53.9% stake in bet-at-home.com AG around the 2025-2026 year-end. Its FY2025 financial reporting states that bet-at-home was deconsolidated on 30 November 2025 and that all shares had been disposed of as at 31 December 2025. Separately, Banijay's announcement dated 2 January 2026 described the sale of the entire stake as completed on that day.
Banijay Group publicly confirmed completion of the sale on 2 January 2026. Its FY2025 financial disclosures use earlier dates for deconsolidation and year-end accounting treatment. Those reporting dates should not automatically be interpreted as the legal closing date. What is established is that Banijay exited its former majority participation.
Just as importantly, selling shares in bet-at-home did not mean that bet-at-home itself ceased trading. A seller can leave a company while that company, its shareholders and its brands continue independently. The disposed stake belongs on a historical timeline, not in an undated list of Banijay Gaming's current subsidiaries. Nor should the historical 53.9% stake be confused with the separate 65% interest Banijay Group disclosed in Banijay Gaming after the Tipico closing.
The company did not give readers grounds to assume that the sale alone explained all subsequent strategic choices. It can reasonably be interpreted as a portfolio simplification alongside the larger Tipico transaction, but a causal motive stronger than management's published explanation would require additional documentary support.
JOA: An Announced Acquisition, Not Yet an Established Holding
On 6 July 2026, Banijay Gaming announced an agreement concerning the acquisition of JOA, a French land-based casino business, from funds associated with Blackstone and Kings Park Capital. The announced perimeter comprised 33 casinos in France. This was a potentially important diversification from sports betting into a larger physical casino estate, but the announcement did not itself transfer control.
The announced process involved a put-option structure and required steps including employee consultation and relevant competition and gaming approvals. Banijay's communication anticipated a closing in the second half of 2026. An anticipated window is a forecast, not a retrospective certificate that the acquisition happened.
Subsequent October developments do not bridge that gap. The French competition authority recorded the proposed Lov Group (Betclic)-JOA transaction on 7 October 2026, published its summary on 8 October and listed it at Phase 1, with third-party observations invited until 29 October. This was a merger-review entry, not a published clearance or completion certificate. Separately, Betclic Tipico Group's announcement of 7 October 2026 priced an offering of €450 million in senior secured notes, with proceeds intended in part to finance the proposed acquisition, subject to the financing's completion. Arranging funding does not establish that ownership of JOA transferred.
Status as at 3 November 2026: announced/agreed, with completion not established by the reviewed evidence. JOA therefore appears here as a conditional future change, not as a current Banijay Gaming subsidiary. If a later primary completion announcement emerges, this page should add its date and the precise acquired perimeter, while preserving the July announcement as a separate historical milestone.
Before and After: What Entered or Left the Perimeter?
A transaction history becomes more useful when it identifies the actual boundary change. The following is a business-perimeter summary, not a complete statutory ownership tree. Direct shareholding paths between individual legal entities are not asserted where the underlying filings have not established them.
| Milestone | Before | After / evidence-based position |
|---|---|---|
| Tipico's ADMIRAL deal, September 2025 | ADMIRAL Austria was outside Tipico. | The specified Austrian business entered Tipico's perimeter after its acquisition completed. |
| bet-at-home disposal, year-end 2025 | Banijay held a 53.9% stake. | The stake was disposed of; bet-at-home should no longer be labelled a current Banijay holding. |
| Tipico closing, April 2026 | Betclic and Tipico were separate business perimeters. | Betclic, Tipico and ADMIRAL Austria were combined within Banijay Gaming; Banijay Group disclosed 65% capital ownership at closing. |
| JOA agreement, July 2026 | JOA casinos were not established as Banijay holdings. | Proposed addition only; later closing remains subject to primary confirmation. |
For ownership analysis, the distinction between the listed parent, the French gaming corporate entities and the licensed operating companies remains essential. For the parent-level control and the people behind it, see Banijay Gaming people and ownership. Regulatory conditions and their potential consequences are considered separately in risks and opportunities.
Frequently Asked Questions
When Did Banijay Complete the Tipico Acquisition?
The agreement was announced on 28 October 2025 and completion was announced on 23 April 2026. The latter date is the relevant entry point for Tipico's consolidation into Banijay's reported gaming results.
Is ADMIRAL Austria Included in Banijay Gaming?
Yes, the specified Austrian ADMIRAL operation was part of Tipico's business when the wider combination closed. This does not mean that all companies trading under the ADMIRAL name, or NOVOMATIC as a whole, were acquired.
Does Banijay Gaming Still Own Bet-at-home?
Banijay announced disposal of its former 53.9% stake on 2 January 2026, following the year-end transaction steps. The operator's continued existence is separate from Banijay's former shareholding.
Has Banijay Gaming Completed the JOA Acquisition?
Completion had not been established by the primary records reviewed as at 3 November 2026. The July agreement and October financing or regulatory activity must not be described as a completed purchase.
