Who owns Banijay Gaming? Banijay Group N.V., the Amsterdam-listed parent, held 65% of Banijay Gaming on a fully diluted basis when its acquisition of Tipico closed on 23 April 2026. Betclic and Tipico founders and CVC also retained interests. The parent disclosed options intended to take its holding to at least 72% over time; that is a potential future position, not a second figure for its completed stake.
Who runs it? Antoine Jouteau became Banijay Gaming CEO on 1 September 2026. Nicolas Béraud is non-executive chairman and Joachim Baca non-executive vice-chairman. They are distinct from François Riahi, CEO of the listed Banijay Group. These positions are established through the 23 April transaction release and the 29 July appointment announcement, considered alongside French company records.
The essential distinction is between ownership, governance and management. A majority shareholder may control strategic decisions without personally running trading desks, customer operations or subsidiaries. This page follows the legal and managerial relationships behind the Banijay Gaming overview, with an evidence cut-off of 4 November 2026.
Banijay Gaming’s Ownership Structure at a Glance
Three similarly named entities matter. Banijay Group N.V. is the publicly listed parent with entertainment and gaming businesses. Banijay Gaming is the French SAS previously known as Betclic Everest Group (SIREN 501 420 939). Betclic Tipico Group is another French company (SIREN 990 139 156) used in the reorganised operating perimeter. They are not interchangeable names for one legal person.
↓ Controlling economic participation, not an assertion of identical voting rights
↓ 100% capital and votes after contribution effective 1 July 2026
Separate oversight: Gaming board / non-executive chair · Separate execution: Gaming CEO and operating-brand CEOs
The European Commission's LOV GROUP / TIPICO merger decision described Banijay Group control through the LOV structures associated with the Courbit family. That is evidence of an upstream control relationship, not evidence that Stéphane Courbit personally owns every share in Banijay Gaming. A detailed list of trading companies and brand relationships belongs in our brands and subsidiaries guide.
Who Are the Shareholders and What Do the Percentages Mean?
The reported 65% is the most useful current transaction benchmark, but the measurement basis matters. The closure announcement describes the parent’s capital participation, and the transaction disclosures identify the stake on a fully diluted basis. Fully diluted measures can reflect instruments or rights not captured by a simple count of ordinary shares in a register. An ownership percentage alone does not enumerate every shareholder’s voting rights or board nomination powers.
| Holder or interest | What is supported | Basis and date | What is not established |
|---|---|---|---|
| Banijay Group N.V. | Controlling 65% holding at Tipico completion | Fully diluted capital; 23 April 2026 | That every class of shares carries proportionate votes |
| Betclic and Tipico founders; CVC interests | Continued participation alongside Banijay Group | Closing announcement; 23 April 2026 | A verified individual percentage for every founder or fund |
| Porto Rosso Ltd. (Malta, C114796) | Direct subscription for 175,209 AdP A1 preference shares | French corporate act; 23 April 2026 | Ultimate individual beneficial owners or complete voting terms |
| Tackle Acquisition S.à r.l. (Luxembourg, B273342) | Direct subscription for 60,903 AdP A2 preference shares | French corporate act; 23 April 2026 | That this legal entity equals the entire CVC fund structure |
| Banijay Group’s proposed additional stake | Intention to reach at least 72% through call options | Contractual opportunity disclosed at closing | That options had been exercised or 72% was already owned |
Porto Rosso and Tackle Acquisition are names found in the 23 April subscription documents. Their preference-share counts are not percentages of all economic rights. The documented share capital also includes ordinary shares, while fully diluted ownership and preference-share economics use different calculations. Adding those two preference-share counts and allocating the unexplained 35% between investors would produce a false ownership table.
Another frequently repeated number, 94.6%, belongs to Banijay Group's interest in the former Betclic Everest Group at 31 December 2025. The remaining 5.4% was associated with Nicolas Béraud through Kostogri. After the Tipico transaction and its equity rollovers, that earlier percentage is historical, not a competing current estimate. Likewise, the listed parent’s shareholder register is a different ownership question from who holds shares directly in the Gaming SAS.
For an investor trying to identify the market-traded security, see Banijay Group shares and chart. Buying a share in the listed parent would not constitute direct ownership of shares in its private Gaming subsidiary.
Who Is Banijay Gaming’s CEO?
Antoine Jouteau is Banijay Gaming's chief executive, effective 1 September 2026. Banijay announced the appointment on 29 July; French company documentation records a board selection on 16 July and later confirmation of the mandate. An announcement date, a board resolution and the effective start of executive responsibilities need not be the same day.
His remit is the Gaming platform's direction, including growth across Betclic, Tipico and ADMIRAL and the integration agenda. This does not make Jouteau the chief executive of every legal operating company or turn each brand’s licensing responsibilities into a single corporate authorisation. The appointment announcement describes a business leadership mandate, not an inventory of personal shareholdings.
Previously, Nicolas Béraud was closely associated with Betclic as its founder and chief executive. The 2026 structure moved him to the non-executive chairmanship of Gaming, while Betclic’s executive leadership passed to Julien Brun. Calling Béraud the current Betclic CEO would conflate a historical role with present governance.
Chairman, Vice-Chairman and Board Oversight
The Banijay Gaming board oversees strategy and management, while executives implement it. A non-executive chair is not automatically the daily operating chief; a board member associated with an investment firm does not thereby prove personal beneficial ownership of that firm's stake.
| Person or legal person | Confirmed role and entity | Effective timing or evidence boundary |
|---|---|---|
| Nicolas Béraud | Non-executive chairman, Banijay Gaming | Confirmed in July 2026 leadership announcement |
| Joachim Baca | Non-executive vice-chairman, Banijay Gaming | Confirmed in April/July 2026 company statements |
| Inès Datchary (also Peronnau) | Board member, Banijay Gaming | Appointed 23 April 2026 in French corporate act |
| Boris Garin | Board member, Banijay Gaming | Appointed 23 April 2026 in French corporate act |
| Christian Daniel Pindur | Board member, Banijay Gaming | Appointed 23 April 2026; no inferred personal stake |
| Mladen Pavlovic | Board member, Banijay Gaming | Appointed 23 April 2026; no inferred personal stake |
| LOV Group Invest | Legal président, Banijay Gaming SAS | Identified in French company records; an organisation, not a person |
French corporate terminology deserves care. The SAS's président is a statutory corporate office; here the recorded holder is LOV Group Invest, another company. It should not be translated automatically into “Nicolas Béraud, president” or treated as synonymous with Antoine Jouteau's CEO role. Formal legal representation, board chairmanship and operational management may sit with different holders.
Nor is this a complete claim about every committee or informal decision-maker. The April appointments establish the named members and dates supported by the available acts. Changes after the evidence cut-off would need fresh filings, and a future term-end date is not proof that the individual has already left.
Who Runs Betclic and Tipico?
The operating brands have their own management. That distinction matters when an interview, financial result or regulatory action names an executive: the reader needs the precise employing or represented entity, not merely the word “Banijay”.
| Executive | Publicly disclosed position | Date and scope |
|---|---|---|
| Antoine Jouteau | CEO, Banijay Gaming | From 1 September 2026; platform level |
| Julien Brun | CEO, Betclic | Succession announced in Tipico transaction materials; Betclic operating leadership |
| Mate Bacic | CEO, Tipico Group | From 1 May 2026, according to Tipico |
| François Riahi | CEO and executive director, Banijay Group N.V. | Listed-parent leadership, not the Gaming CEO |
| Sophie Kurinckx-Leclerc | CFO and executive director, Banijay Group N.V. | Listed-parent finance and board role |
Older October 2025 transaction coverage referred to Axel Hefer as Tipico CEO; the later, explicit Tipico announcement says Mate Bacic succeeded him effective 1 May 2026. Julien Brun's departure from a particular delegated-director post at the Gaming legal holding on 1 July does not, by itself, cancel the separately announced Betclic CEO role. Dates and entities prevent both errors.
Executives at Banijay Entertainment or Banijay UK should not be inserted into Gaming leadership merely because the businesses share a listed parent.
How the 2026 Transactions Affect Control
Following the Tipico closing on 23 April 2026, an operating-business contribution to Betclic Tipico Group took effect on 1 July 2026. Those completed changes explain why historic holding-company and current operating-perimeter records differ.
Unexercised options are not completed changes in ownership. For the full sequence, see our acquisition and reorganisation history.
Likewise, the proposed JOA acquisition does not establish JOA ownership or additional Gaming board seats without evidence of closing.
How to Verify an Ownership or Leadership Change
Check the date, legal person and measurement basis. Listed-parent disclosures establish reported control; French acts identify subscriptions and officers. Neither necessarily reveals every ultimate beneficiary or voting entitlement. Distinguish issued shares, diluted stakes, votes and unexercised options.
For appointments, verify the exact entity and effective date; board selection can precede a CEO's start. Resolve conflicts through later, entity-specific records and disclose uncertainty.
We examine revenue and borrowing at their correct reporting levels in financial results and financing; debt figures are not a substitute for an ownership register.
The Bottom Line
Banijay Group's reported 65% fully diluted interest establishes majority ownership, while other investors retain stakes and options could change the balance. Understanding who makes decisions also requires separating capital, governance and executive management.
