Banijay Gaming reported €1,211.0 million in Sports betting & Gaming revenue and €293.9 million in adjusted EBITDA for the first half of 2026. These figures come from Banijay Group N.V.'s results published on 29 July 2026. Revenue rose 54.3% against the reported first half of 2025, but the comparison includes Tipico only after its acquisition closed on 23 April 2026. On the issuer's constant-currency, pro forma basis, revenue growth was instead 10.5%.
That distinction is central to understanding Banijay Gaming financial results. The listed parent, its Gaming reporting segment and individual borrowing or operating companies are not interchangeable. This analysis uses figures disclosed through 3 November 2026, identifying the reporting period and metric behind each headline. Start with our Banijay Gaming overview for the corporate structure.
Banijay Gaming Financial Results at a Glance
All amounts in the following table are € million, except percentages. The financial information is reported by the listed Banijay Group N.V., with the Sports betting & Gaming segment identified separately. H1 is a six-month period and must not be treated as a full-year result.
| Gaming segment measure | FY2024 | FY2025 | H1 2025 | H1 2026 |
|---|---|---|---|---|
| Revenue (€m), reported | 1,455.5 | 1,593.7 | 784.8 | 1,211.0 |
| Adjusted EBITDA (€m), reported APM | 379.8 | 425.2 | 221.9 | 293.9 |
| Adjusted EBITDA margin | 26.1% | 26.7% | 28.3% | 24.3% |
| Reported revenue movement against corresponding preceding period | , | +9.5% | , | +54.3% |
| Constant-currency / issuer-defined comparable growth | , | +10.2% | , | +10.5% pro forma |
The results are not standalone statutory accounts for Banijay Gaming SAS. The adjusted EBITDA metric is an issuer-defined alternative performance measure, not statutory net profit. The source's 2025 comparison is for the former reporting perimeter, whereas the 2026 half-year includes part of Tipico's activity. Those qualification notes are as important as the numbers themselves.
Gaming Segment vs Banijay Group: Which Results Are We Reading?
Financial search results frequently display the public company's figures next to figures described as “Banijay Gaming”. Those measures overlap, but they answer different questions. Banijay Group N.V. consolidates entertainment and live-experiences activities alongside Gaming. Sports betting & Gaming is an operating reporting segment. A named French SAS, licensed bookmaker or debt issuer may have different accounts, assets and liabilities.
| Scope | What the number covers | Example in published results | Do not mistake it for |
|---|---|---|---|
| Banijay Group N.V., consolidated | Parent plus consolidated entertainment, live and gaming businesses | FY2025 total revenue €4,880.5m | Gaming-only revenue |
| Sports betting & Gaming segment | Gaming activities recognised within the parent's segment reporting perimeter | FY2025 revenue €1,593.7m | Revenue of one Betclic website or one SAS |
| Individual legal entity | Its statutory reporting scope and accounting basis | Banijay Gaming SAS or a local licensed operator | Automatic equivalent of the consolidated segment |
| Bond issuer or borrower | Obligations arising under identified debt documents | Betclic Tipico Group S.A.S. notes | All group debt or a net-debt ratio |
In FY2025 the Gaming segment accounted for approximately 32.7% of the parent's reported consolidated revenue (€1,593.7m divided by €4,880.5m). This is our calculation from two amounts within the same reporting release and period; it is not a separately published market-share figure. Nor does it tell us the group's contribution to net profit or cash available for dividends.
On the same FY2025 basis, the listed group reported adjusted EBITDA of €961.1m, while Gaming's contribution to the segment measure was €425.2m. Holding-level adjustments mean segment adjusted EBITDA values need not be interpreted as independent distributions to shareholders. Revenue and Growth by Reporting Period
Reported Banijay Gaming revenue rose from €996.2m in FY2023 to €1,455.5m in FY2024 and €1,593.7m in FY2025. These are full-year segment figures in the relevant published Group results. The FY2025 increase was €138.2m, or 9.5% at reported rates; the issuer reported 10.2% growth on its stated constant-currency basis.
The product mix in FY2025 was disclosed as sportsbook €1,214.3m, casino €249.3m, poker €105.8m and turf €24.3m. Those four amounts sum to the €1,593.7m segment revenue figure. They are categories across the reporting perimeter, not a sales breakdown for a single national operator. Their mechanisms are explained in our business model article.
H1 2026 is the point at which a simple historical trend line would become misleading. The Gaming segment reported €1,211.0m against €784.8m in H1 2025, an increase of €426.2m and 54.3% on reported figures. Yet Tipico contributed to the first number from 23 April 2026 only. To compare underlying operations, Banijay supplied a constant-currency, pro forma growth rate of 10.5%, using a full six-month Tipico contribution for both half-years.
These are not contradictory rates. One measures the growth in the accounting perimeter that was actually reported; the other seeks to compare a constructed perimeter. The pro forma basis is useful for understanding operating momentum but should never be silently substituted for the reported accounts. The issuer also showed 83% online and 17% retail revenue shares on an H1 2026 pro forma basis: those proportions must not be presented as the historic FY2025 mix.
Profitability: What Does Adjusted EBITDA Tell Us?
Adjusted EBITDA measures performance before certain financing, depreciation, amortisation and other issuer-defined adjustments. It can be useful when comparing operating businesses, but it is not net income, free cash flow or money sitting in a bank account. Readers should inspect the issuer's reconciliation before comparing it with another operator's EBITDA.
Gaming adjusted EBITDA increased from €379.8m in FY2024 to €425.2m in FY2025. Its published adjusted EBITDA margin rose from 26.1% to 26.7%. Those figures suggest improvement on the issuer's adjusted measure, but they are not evidence that all regulatory costs fell or that reported statutory profit increased at the same rate.
For H1 2026, Gaming reported €293.9m adjusted EBITDA, up 32.5% from €221.9m a year earlier. On the issuer's constant-currency, pro forma basis, the comparable change was instead −1.7%. The adjusted EBITDA margin fell from 28.3% in H1 2025 to 24.3% in H1 2026. This is a useful warning against reading the large reported revenue increase as an equivalent improvement in profitability.
Banijay pointed to changes in gaming taxes in France and Austria as factors affecting the year-on-year evolution. It also reported H1 2026 Gaming adjusted free cash flow of €260.8m, compared with €207.4m in H1 2025, using its own APM definition. That figure must not be treated as IFRS cash generated from operations without checking the reconciliation, working-capital movements and tax payments.
Why Tipico, bet-at-home and JOA Change Comparability
Acquisitions matter to financial interpretation on the date consolidated, not merely the day a deal is announced. The Tipico combination closed on 23 April 2026, so Banijay's reported H1 2026 Gaming revenue includes only a partial contribution. Its illustrative €3.1bn combined FY2025 Gaming revenue is an unaudited pro forma construction including businesses that had not been consolidated together throughout 2025. It cannot replace the actual reported €1,593.7m FY2025 Gaming number.
There is a second perimeter change in the opposite direction. Banijay exited its former 53.9% stake in bet-at-home around the 2025-2026 year-end. FY2025 reporting records deconsolidation on 30 November and disposal of shares as at 31 December 2025, while a separate 2 January 2026 announcement described sale completion that day. These dates represent different documentary references and should not be collapsed into one assumed legal closing date.
Finally, the proposed purchase of French casino operator JOA was announced in July 2026 but was not established as completed by the evidence checked on 3 November 2026. A funding plan or regulatory filing cannot justify adding JOA's revenue or debt to current reported Gaming results as though the acquisition had already closed. Our history and acquisitions page keeps these transaction stages separate.
Banijay Gaming Debt, Financing and Liquidity
How much debt does Banijay Gaming have? Banijay Group's H1 2026 results give a direct answer in Table 8, “Sports betting & Gaming (Banijay Gaming): Net financial debt”. The figures below are the issuer's Gaming-level measures, rather than our reconstruction from bonds and cash balances.
| Metric | 31 December 2025 | 30 June 2026 |
|---|---|---|
| Total secured debt | 600 | 3,756 |
| Cash in bank (deduction) | (224) | (467) |
| Total net financial debt | 376 | 3,290 |
| Leverage ratio, issuer-defined | 0.86× | 3.77× |
Net financial debt therefore rose from €376m to €3,290m across those dates, in the context of the Tipico acquisition and its financing. The 3.77× leverage ratio is disclosed by the issuer; it is not a ratio we calculated by dividing debt by six months of EBITDA. Table 8 separately reports €3,257m as Gaming's contribution to net financial debt at Banijay Group level after specified adjustments. These are related presentations of the same Gaming financing perimeter, not amounts to add together or stack on top of consolidated Group debt.
A bond has a legal issuer and specified principal, while consolidated net debt uses a defined calculation of debt and eligible cash. A newly priced bond cannot simply be added to reported net debt without checking issuance, refinancing and consolidation.
| Date / issuer | Instrument | Disclosed purpose | Interpretation |
|---|---|---|---|
| February 2026; Betclic financing associated with the Tipico combination | €1bn senior secured notes offering, described by transaction counsel | Part of the wider Tipico combination financing | Not the entire purchase price or the parent’s net debt |
| 7 October 2026; Betclic Tipico Group S.A.S. | €450m senior secured notes priced at 6.500%, due 2032 | Proposed JOA acquisition, refinancing certain JOA indebtedness and transaction expenses | Issuer-specific financing; not proof that JOA closed |
The 7 October 2026 corporate announcement priced the €450m notes at 100% of principal and described a planned completion of the offering around 21 October, subject to normal conditions. The available announcement establishes the instrument's proposed terms and purpose; it is not, on its own, an outstanding-debt statement as at 30 June or a final JOA acquisition certificate.
A subsequent BNP Paribas notice dated 12 October 2026 identified the same €450m, 6.5% notes due in March 2032 and stated that no stabilisation was undertaken. That is later evidence concerning the securities offering, not confirmation that the proposed JOA acquisition completed.
Liquidity also depends on scope. Banijay Group's consolidated balance-sheet cash and cash equivalents of €722.5m at 30 June 2026 differs from a €712.6m net cash-equivalent presentation used in the cash-flow information. Neither number may be applied automatically to one Gaming subsidiary. Nor can the total consolidated balance-sheet debt be attributed solely to the sportsbook business when the parent also finances Entertainment and Live activities.
For a leverage ratio, the numerator's debt definition and denominator's adjusted earnings period and perimeter must align. A ratio assembled from a Group-wide obligation and Gaming-only EBITDA would be a mathematical calculation with little financial meaning. A separate discussion of refinancing and strategic exposure appears in risks and opportunities.
How to Read Banijay Group's Annual Reports
The company's financial reports are available on its official corporate website. The FY2025 results dated 5 March 2026 provide the full-year Gaming figures and their comparative basis. The H1 2026 results dated 29 July 2026 explain the Tipico consolidation date, reported/pro forma growth and the half-year performance measures. The historical FY2024 release supplies the earlier comparative year.
Next, read the footnotes: identify whether the table refers to consolidated Banijay Group, a business segment, a standalone legal company or an alternative performance measure. Check whether foreign exchange, acquisitions or disposals have changed the comparison basis. Finally, for financing disclosures, note the legal borrower, currency, principal, coupon, maturity and whether the amount is issued, outstanding or merely proposed.
The existence of a document in an investor results centre is not proof that every related line can be compared without reconciliation. Likewise, a public company's annual report does not produce a separate audited income statement for each consumer brand.
What the Numbers Do, and Do Not, Tell Us
Our interpretation: the reported Gaming business has become substantially larger, but the April 2026 acquisition makes raw year-on-year growth a poor standalone test of operating improvement. The difference between +54.3% reported H1 revenue growth and +10.5% constant-currency, pro forma growth is the clearest illustration. The decline in the H1 adjusted EBITDA margin and slightly negative comparable adjusted EBITDA movement also temper a simple “bigger is better” narrative.
The FY2025 product breakdown shows sportsbook as the largest revenue category, although those numbers do not identify brand-level profit or country-level cash flow. Debt raised to finance expansion may improve strategic reach while introducing interest and refinancing obligations. Those are potential trade-offs, not an investment recommendation or a prediction of the share price.

How Much Revenue Did Banijay Gaming Report in 2025?
The Sports betting & Gaming segment reported €1,593.7m for FY2025, in Banijay Group's results published on 5 March 2026. The separately disclosed €3.1bn combined figure is an unaudited pro forma illustration.
Why Was H1 2026 Gaming Revenue Growth So High?

Is Adjusted EBITDA Banijay Gaming's Net Profit?
No. Adjusted EBITDA excludes or adjusts for items specified in the issuer's methodology. The Gaming segment's €293.9m for H1 2026 is not the parent company's net income or cash balance.
Can Investors Buy Banijay Gaming Shares Directly?
